Practice Experience
Mr. Kahn maintains a general corporate practice with considerable merger and acquisition, bank finance and municipal securities experience. Mr. Kahn acts as general outside counsel to Mohawk Fine Papers Inc., and regularly represents The Guggenheim Museum. From 2007 through 2011, Mr. Kahn was a member of the four-person Executive Committee of White & Case LLP, which manages the Firm on a day-to-day basis. In such a role, Mr. Kahn oversaw the operations of the Firm. Mr. Kahn is a member of the Firm’s eight-person Partnership Committee, which is the only Firm-wide, partner elected, governance body.
In the mergers and acquisitions area, Mr. Kahn has been cited as one of the top US practitioners in European Counsel 3000 and has been involved in numerous public and private stock and asset transactions representing both buyers and sellers. Representative transactions include the representation of Aviation Capital Group in connection with its acquisition of Boullioun Aviation Services, Dice Inc. in connection with its acquisition by private equity groups General Atlantic LLC and Quadrangle Group LLC, Dorbyl Limited in connection with the sale of Alpine Engineered Products, Inc. to Stonebridge Partners, Mohawk Fine Papers in connection with its purchase of the Fine Papers Division of International Paper, United Business Media plc in connection with its acquisition of ICMI, Inc. and Light Reading, Inc. and DPI West, a subsidiary of The Irish Dairy Board, in connection with its purchase of Holiday Candy Company. Other significant M&A transactions handled by Mr. Kahn include representation of Avis in connection with its divestiture of PHH Europe, Newcourt Credit in connection with its acquisition of AT&T Capital, Deutsche Bank in connection with its acquisition of ITT Commercial Finance, Prudential in connection with its divestiture of Prudential Home Mortgage, State Street Bank and Trust Company in connection with its purchase of Wachovia Bank’s pension custody business, CMP Media in connection with its acquisition of various publications from The McGraw-Hill Companies and Anglian Water in connection with its purchase of Fluid Systems Corporation from Allied Signal.
Mr. Kahn has also represented numerous domestic and foreign banks in a wide array of credit transactions, including considerable experience and know-how in soft capital facilities for monoline insurers.
In the municipal finance area, Mr. Kahn has represented underwriters, placement agents, remarketing agents, issuers, purchasers, credit enhancers, bond insurers, trustees, financial advisers and tender agents on numerous tax-exempt financings. For many years, he represented Salomon Brothers and Goldman Sachs as underwriters' counsel on more than 25 Municipal Assistance Corporation for the City of New York (MAC) financings totaling over US$11 billion. He has also worked on more than 200 variable-rate demand bond transactions.
