On November 10, 2009, Senator Christopher Dodd published a 1,136 page discussion draft of the Restoring American Financial Stability Act of 2009. Even though Senator Dodd's Bill is directed primarily at regulating financial institutions and their products, it contains a number of corporate governance and executive compensation provisions that would apply to all public companies. Many of these provisions are similar to those that appeared in Senator Charles Schumer's Shareholder Bill of Rights Act and reflect an ongoing effort to federalize areas that are better left to state regulation.
