Practice Experience
Antonia Rawlinson has extensive experience in the international bank finance field, representing banks, financial institutions and corporations in a wide range of domestic and cross-border financing transactions including secured and unsecured, syndicated and bilateral financings. She has particular expertise in cross-border acquisition finance and other forms of structured financing including trade finance and CDO warehousing as well as having significant experience in the investment grade lending market.

Leading financial institutions Antonia frequently represents include Deutsche Bank, Morgan Stanley and CIBC World Markets.

Antonia joined the London office in 2000 from the London office of a leading US law firm where she was a senior associate in the firm's banking group. She was previously at a leading UK law firm.

Representative transactions include:
  • Acting for the Mandated Lead Arrangers Calyon, Deutsche Bank AG, London Branch, BNP Paribas and Société Générale in relation to a €2.6 billion (subject to increase to €2.9 billion) senior asset financing loan in the form of a secured borrowing base loan coupled with a €250 million senior secured revolving credit facility in connection with Europcar Groupe SA and Eurazeo's acquisition of Europcar Group, the leading car rental organisation in Europe;
  • Acting for Citigroup, Credit Suisse First Boston, Deutsche Bank and JPMorgan as Mandated Lead Arrangers and Underwriters of the €3.8 billion senior financing provided to the Jefferson Smurfit Group, an Irish-based manufacturer of paper-based packaging products in connection with its merger with Kappa Packaging, a Netherlands-based manufacturer of packaging products;
  • Acting for CIBC and JPMorgan on a bolt on acquisition of the Flint Ink Group by way of amending and restating the BASF Drucksysteme GmbH/ANI Printing Inks senior facilities agreement to include a further term debt, cash bridge and a second lien facility, the total amounting to US$1.35 billion new term facilities and a €60 million increased revolver;
  • Acting for CIBC, Deutsche Bank and JP Morgan as mandated lead arrangers on the €625 million senior and €130 million mezzanine debt acquisition by CVC Capital Partners of BASF Drucksysteme GmbH, the printing inks and printing plates operations of BASF AG, and the Swedish printing inks manufacturer ANI Printing Inks. The transaction involved the acquisition of shares and assets in 11 jurisdictions;  
  • Advising Deutsche Bank in relation to the senior and mezzanine financing of the £860 million acquisition of the Linpac Group business by Montagu Private Equity, with the target group having operations in 31 countries over 5 continents;
  • Advising Deutsche Bank and CSFB, as arrangers, in financing the €925 million acquisition by competitive tender of Klöckner Pentaplast from Klöckner Werke AG by Cinven;
  • Advising CIBC and Société Générale as facility providers in relation to the Duchess II CDO warehousing; and
  • Advising Barry Callebaut NV, as borrower, in the €375 million senior bank financing in connection with which a €165 million high yield issuance was also completed by White & Case.
