Practice Experience
Andrew Weiler is dual qualified in New York and England and Wales and has extensive international corporate practice experience, having worked in White & Case’s New York, Stockholm and Helsinki offices prior to residing in London. He concentrates on mergers and acquisitions and corporate finance work, including representing multinationals and private equity firms in M&A and joint venture transactions and advising issuers on cross-border private placements. Andrew also has considerable expertise advising some of the world's largest funds of funds on secondary acquisitions of private equity interests, including when coupled with primary investments in investment funds.
Representative Transactions in Mergers and Acquisitions:
The Coca-Cola Company – Advised The Coca-Cola Company in (i) its formation of a Nordic joint venture with Carlsberg A.S. and (ii) its restructuring of a global joint venture with Nestle S.A.;
ABB – Advised ABB in (i) its sale to British Nuclear Fuels plc of its nuclear businesses located predominantly in the U.S., Sweden, France and Germany, (ii) its sale to a private equity firm of its global air handling business located in over 30 jurisdictions, (iii) its divestiture of its global metering business to Ruhrgas Industries GmbH, and (iv) its sale of its global reinsurance business to White Mountains Insurance Group;
AlpInvest Partners - Advised AlpInvest Partners N.V., one of the world's largest investors in private equity, in various secondary acquisitions of portfolios of private equity interests and primary investments in investment funds;
Goldman Sachs - Advised Goldman Sachs in secondary acquisitions of private equity interests;
Fund of Funds Consortium - Advised HarbourVest Partners, Pantheon Ventures and LGT Capital on their investment in Clyde Blowers Capital Fund II LP, a private equity fund established by the Scottish-based group Clyde Blowers, and on the $1 billion acquisition by the Fund of the global fluid and power divisions of Textron Inc., one of the world's largest multi-industry companies;
Investec Bank- Advised Investec on (i) its acquisition of IdaTech LLC, a U.S. fuel cells business, and (ii) the subsequent reorganisation and initial public offering of IdaTech plc on AIM, a market of the London Stock Exchange;
HBO Central Europe - Advised HBO Central Europe, a joint venture between HBO, Disney and Sony, in relation to its sale of Spektrum, its documentary TV channel, to Chellomedia, the content division of Liberty Global;
HSBC Principal Investments - Advised HSBC Principal Investments in relation to its investment, alongside Google and Liberty Global, in 03B Networks, which plans to deploy multiple satellites for provide high-speed, low-cost Internet connectivity to emerging markets in Asia, Africa, Latin America and the Middle East;
Saudi Aramco - Advised Saudi Aramco on (i) its $550 million disposal of its 40% stake in Petron Corporation, the largest oil refining and marketing company in the Philippines, to an investment fund of Ashmore Group, and (ii) its divestiture of a petroleum refining company;
Norske Skog - Advised Norwegian-based global publication paper company Norske Skogindustrier ASA on its $600 million acquisition of 50 per cent of the shares in PanAsia Paper Company, Asia's largest newsprint maker, from Canadian shareholder Abitibi-Consolidated, thus making Norske Skog the world's largest newsprint manufacturer.
Kingdom Holding Company - Advised Kingdom Holding Company, one of the world's largest and most diversified private investment companies, in connection with its US$860 million initial public offering on the Saudi Stock Exchange, which offering valued KHC at approximately US$17 billion;
International Mineral Resources - Advised IMR on (i) its acquisition of the Ferronikeli nickel mine in Kosovo pursuant to Kosovo's then largest ever privatisation transaction, and (ii) its acquisition of a chrome mine in Russia;
EQT Partners AB – Advised EQT Partners AB, a leading Swedish private equity firm, in various strategic acquisitions by its European portfolio companies of U.S. electronics and automation companies;
Nelson Resources – Advised Nelson Resources, an oil and gas producer listed on the Toronto Stock Exchange and AIM, on various acquisitions of oil and gas assets in Central Asia;
Central Asian Industrial Holdings – Advised Central Asian Industrial Holdings in its sale of Chaparral Resources, an oil and gas exploration company with assets in Kazakhstan;
Meridian Capital – Advised Meridian Capital CIS Fund, a private equity firm focusing on oil and gas and energy investments, on various investments and acquisitions;
@Entertainment – Advised United Pan-Europe Communications N.V. in its $900 million public tender offer for all of the shares of @Entertainment, Inc., the leading Polish cable and DTH satellite television provider listed on NASDAQ;
Telenor – Advised Telenor A/S in its acquisition of Satellite Tracking Systems, a global tracking service provider;
NSAB – Advised NSAB, a Nordic satellite operator, in connection with the leasing and financing of telecommunications satellites;
Mobil Rom – Advised Central European Media Enterprises (CME) and other shareholders in connection with multiple sales of shares in Mobil Rom S.A., a Romanian cellular operator, to France Telecom Mobiles International and to institutional investors.

QinetiQ - Advised QinetiQ plc on its private placement of $260,000,000 of senior notes;
Ciments Français: Advised Ciments Français S.A. on its private placement of $300,000,000 of senior notes;
Cadogan Estates - Advised Cadogan Estates Limited on its private placement of $120,000,000 and £65,000,000 of senior notes;
Johnston Press - Advised Johnston Press plc on its private placement of $150,000,000 of senior notes;
Tele 2 - Advised TELE 2 AB on its private placement of $220,000,000 of senior notes;
