Practice Experience
Mr. Weisberg is an associate in White & Case's New York Capital Markets Section. Mr. Weisberg has represented both issuers and investment banks in a variety of capital markets and liability management transactions, including high-yield and investment grade bond offerings, exchange offers, tender offers and consent solicitations in a wide variety of industries in the United States, Latin America and elsewhere. Mr. Weisberg's work also includes counseling clients on corporate governance practices, corporate advisory matters and ongoing disclosure and compliance requirements under US securities laws.
Recent representations include:
- Representation of Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. Incorporated and UBS Securities LLC, as joint bookrunning managers, in connection with the registered offering by Campbell Soup Company of US$500 million of its 4.250% Notes due 2021. Previously represented Barclays Capital Inc, BNP Paribas Securities Corp. and J.P. Morgan Securities Inc., as joint book-running managers, in connection with the registered offering by Campbell Soup Company of US$400 million of its 3.050% Notes due 2017.
- Representation of Inn of the Mountain Gods Resort and Casino, a wholly-owned enterprise of the Apache Tribe of the Mescalero Reservation and the operator of a New Mexico gaming destination resort, in its offer to exchange its outstanding 12% Senior Notes due 2010 for new 8.750% Senior Notes due 2020, new Senior PIK Notes due 2020 and cash.
- Representation of Calpine Corporation, the largest independent power generator in the United States, in connection with several offerings of senior secured notes in an aggregate amount of US$6.9 billion, including an offering considered to be the first exchange offer of par notes for bank loans.
- Representation of Deutsche Bank Securities Inc., Merrill Lynch International and The Royal Bank of Scotland plc, as joint bookrunners, in connection with an offering of US$600 million of 10.25% Senior Notes due 2018 by MCE Finance Limited, a subsidiary of Melco Crown Entertainment Limited, an owner, developer and operator of casino gaming and entertainment resort facilities focused on the Macau market.
- Representation of J.P. Morgan Securities Inc., as sole bookrunning manager, in connection with an offering of US$48.6 million of common stock by Petroleum Development Corporation, a US independent oil and gas producer.
- Representation of Braskem S.A., the largest producer of petrochemical resins in the Americas, in a tender offer and consent solicitation for its US$250 million of 11.75% Notes due 2014, US$250 million of 9.375% Notes due 2015 and US$275 million of 8% Notes due 2017. Previously represented Braskem S.A. in connection with a consent solicitation to the holders of its US$250 million of 11.75% Notes due 2014.
