Practice Experience

Askar Zhansagimov’s practice is focused primarily on capital markets, structured and banking finance and mergers and acquisitions transactions.

Prior to joining White & Case in 2007, Askar worked as a legal advisor at the Ministry of Finance of the Republic of Kazakhstan as well as at an international consulting company in London, United Kingdom.

Some of the recent representative transactions in which Askar has participated are:

International Debt Offerings: 2007 US$350 million Notes Offering by ATF Capital B.V. (legal advisers as to Kazakhstan law to ING Bank); 2007 US$600 million Notes Offering by Intergas Finance B.V. guaranteed by JSC Intergas Central Asia (legal advisers as to Kazakhstan law to ABN AMRO and ING); 2007 US$250 million Exchange Notes Offering by Kazkommerts Finance 2 B.V. (legal advisers as to Kazakhstan law to Kazkommerts Bank);
International Equity Offerings: Alliance Bank in an LSE-listed offering of Kazakhstan equity through GDRs (legal advisers as to Kazakhstan law to the Issuer); a Kazakhstan company’s proposed international offering of Kazakhstan equity through GDRs;
Capital Markets Due Diligence: 2007 Halyk Bank DPR Securitisation Programme (legal advisers as to Kazakhstan law to Halyk Bank); US$170 million loan facility for construction of Khan Shatyry entertainment complex (advising as to Kazakhstan law to the lender); and
M&A: Acquisition by a foreign bank of a resident bank (legal advisers as to Kazakhstan law to the international finance groups acquiring Kazakhstan bank); Acquisition by a foreign bank of shareholdings owned by another foreign bank in a Kazakhstan bank (legal advisers as to Kazakhstan law to the purchaser).
