Practice Experience
Mr. Fondufe is an associate in White & Case's Energy, Infrastructure and Project Finance Group and is also a member of the Middle East Practice Group.

Mr. Fondufe concentrates in international and domestic corporate and financial transactions, particularly those involving sovereign states, multilateral lending agencies, export credit agencies and other corporations. He has broad experience representing both public and corporate clients in the development and financing of large infrastructure projects, mergers and acquisitions and the privatization of state-owned enterprises. Mr. Fondufe has advised such clients with respect to transactions in the oil, gas, petrochemicals, telecommunications and transportation industries.

Representative transactions include:
  • Representation of Saudi Aramco as lead associate in connection with the development and structuring of a joint venture with The Dow Chemical Company to implement a world-scale integrated refining and petrochemical complex in Ras Tanura, Saudi Arabia;  
  • Representation of Saudi Aramco as lead associate in connection with the structuring, development and, on behalf of the project company, the structuring and negotiation of the financing of a joint venture to implement a $9.9 billion refinery, ethane cracker and petrochemical complex in Rabigh, Saudi Arabia;
  • Representation of the project company as lead associate in connection with the development and financing of a project for the production of 7 to 9 million tons per annum of liquefied natural gas in Papua New Guinea;
  • Representation of sponsors of refining and petrochemical projects in development in the Middle East;
  • Representation of the sponsors in connection with the Global Alumina project in the Republic of Guinea involving the project financing of a $2.8 billion bauxite mine and a 2.8 million tons per annum alumina refinery;    
  • Representation of Saudi Aramco and the Ministry of Petroleum and Mineral Resources of the Kingdom of Saudi Arabia in connection with the negotiation and implementation of an agreement - the first of its kind in the Kingdom of Saudi Arabia - for the exploration for and production of natural gas, natural gas liquids and condensate in the South Rub' al Khali by a company formed by Shell, Total and Saudi Aramco;  
  • Representation of Saudi Aramco in connection with the Ministry's first upstream offering of natural gas exploration and production rights to various international oil and gas companies. The Ministry's upstream offering involved putting three blocks of significant acreage to bid on the basis of pre-developed forms of documentation, available via an internet platform, and selected objective criteria, and the subsequent formation of operating companies by each of the three winning bidders - Russia's LUKOil, China's SINOPEC and a consortium formed by Italy's ENI and Spain's Repsol - with Saudi Aramco to pursue exploration and production activities in the Rub' al Khali;   
  • Representation of Saudi Aramco and the Ministry of Petroleum and Mineral Resources of The Kingdom of Saudi Arabia in connection with the Kingdom's Natural Gas Initiative;   
  • Representation of American International Group, Inc. and its affiliates as lenders and credit enhancement providers in several structured finance transactions, notably the cross-border lease financing of rail passenger information and ticketing equipment (qualified technological equipment) for SNCF (the French National Railway Company). This transaction was named the Structured Finance Deal of the Year 2002; and 
  • Representation of GE Capital Corporation in the debt restructuring and amendment of credit facilities extended to the bankrupt Pacific Gas & Electric (PG&E) in California in 2002.
