Carina is a senior associate in the Energy, Infrastructure, Project and Asset Finance Group in London. She has experience in advising sponsors and lenders on project financings and structured financings including on refinancings and restructurings.

Acting for Weather Investments S.p.A. and certain of its subisidaries in the financing of its successful bid for WIND Hellas through the UK's largest ever prepack administration with a restructuring capital value of €3.5 billion.
Representation of Türk Telekom and Avea on the restructuring of their $1.6 billion multitranche project financing including detailed negotiations on Türk Telekom's support package.
Advising Avea on the restructuring of its guarantee fee arrangements with SACE S.p.A. including drafting bilateral agreements between Avea and SACE in accordance with its multi-tranche project financing.
Advising Deutsche Bank A.G. (as equity holder) on the structuring of a Netherlands-based fund to hold its European renewable energy project investments including the drafting and negotiation of English-law transfer documents with respect to exclusivity agreements and joint venture agreements in place with various developers across Europe.
Advising BNP Paribas on the arrangement and structuring of a US$675 million secured project finance lending to the Sanmar Group with respect to an Egyptian petrochemical project.
Advising VTB Bank Europe plc on lending to the Megalogix group in connection with the largest portfolio of warehouse financings in Russia.
Representation of Orascom Telecom Holding on the refinancing of its US$2.5 billion senior group debt including a complicated amendment and restatement structure and revision of lending terms. Completed April 2008.
Representation of the sponsors—Qatar Petroleum and Shell—on the US$6 billion Qatargas 4 LNG project financing. Completed July 2007.
Representation of ADWEA and the government of Abu Dhabi in connection with their seventh independent water and power producer (IWPP) project involving the US$2.75 billion financing of the development of a greenfield 2,000 MW and 130 MIGD power generation and seawater desalination plant and associated facilities in the Emirate of Fujairah which achieved financial close in December 2007.
Advising VTB Bank Europe plc on a £50 million financing of a reopening and operation of a UK Coal mine.
Representation of BNP Paribas as lender in a US$100 million reserve based loan facility to Urals Energy Public Company Limited, a Cyprus based borrower that owns a number of Russian oil production subsidiaries.
Advising a private sector consortium on local government outsourcing with a capital value of £13 million per annum.
Advising ECGD and KfW Bank on the refinancing and restructuring of an oil-fired power plant in the Dominican Republic including complicated arrangements relating to the future conversion to dual fuel capability.
Advising the sponsors on £1.8 billion defence accommodation Allenby & Connaught Project. Providing ongoing advice from January 2004 in negotiating precontract works arrangements, main wrapped double bond financing (MBIA and Ambac) and detailed variation bond structure. Highly complex project structure.
Advising bank lender group regarding financing of purchase and development of hotel interests at the Heathrow Terminal 5 Site and restructuring and refinancing of other airport hotel interests. Negotiating facilities agreement, performance guarantee with BAA etc. Completed July 2005.
Advising the lead arrangers (Société Générale, Bank of Ireland and NordLB) for bank financing of Richmond-Airport-Vancouver rail project designed to provide high-speed rail link from airport to downtown Vancouver for winter Olympics. Complex government (federal and provincial) grant systems and payment mechanics.
Advising bank group (Barclays, Bank of America, Abbey and HBOS) on a restructuring and refinancing of the 2001 public-privatisation of National Air Traffic Services (NATS) with new investment from BAA and the Government on a quasi-mezzanine basis. Suite of finance documents and Air Traffic Licence renegotiated on this basis.
Advising bank group on the wrapped bond refinancing of £600 million. of the restructured debt in NATS with MBIA as monoline. Advice focused on drafting new common terms agreement and intercreditor deed and assisting NATS' lawyers with offering circular and other bond documentation. Completion August 2003. Advice on syndication of remaining £300 million bank debt.
Advising Thames Water in relation to Project Aquatrine, providing water and waste management systems to Ministry of Defence sites throughout Scotland and parts of UK. Complex guarantee structure.
Advising mezzanine lender investing on a restructuring and refinancing of the A130 road project. Amendments to main finance documentation including providing for junior reserving and prepayment mechanisms and entrenched rights in the intercreditor deed. Completed January 2004.
Advising Cubic Corporation on restructuring of financing in connection with the London Underground ticketing services contract and Oystercard system. Highly complex financing structure in place since 1998 and advice given regarding overlay guarantee structure to be put in place following default and sub-contractor disputes.
Advising the private consortium Baltic Rail Services (BRS) and AS Eesti Raudtee (Estonian National Railway, which was part-privatised in 2002 to provide BRS with 66 percent ownership) (EVR). Advice also provided on original financing by AIG EEIF (to BRS) and IFC (to EVR) in 2002. Advice on LMA-based refinancing of both EEIF and IFC loans by Nordea Bank.
