Practice Experience
Dean Harper's experience covers the full-range of corporate finance, equity capital markets, securities and mergers and acquisition matters including public and private company acquisitions and disposals, management buy-outs and buy-ins, IPOs, new and secondary share issues, global depositary receipt listings and equity capital raising. He is also familiar with the UK Financial Services Regulatory Regime and regularly advises on matters such as regulated activities, financial promotion and FSA authorization.
Dean has spoken at conferences on matters such as directors’ duties and liabilities, minority shareholder protection, public share issues and the Financial Services and Markets Act 2000. He appears in the

Representative transactions include:
Advised on equity issues surrounding the £2.2 billion contract to manage the UK Atomic Weapons Establishment at Aldermaston;
Acted for FTSE 250 Serco Group plc on various acquisitions including CCM Software Services Limited, Quality Assurance Services Limited, Total IT Limited, the Nuclear Consulting business of AEA Technology plc for £69.8 million and the successful re-bid of the contract to manage the National Physical Laboratory;
Acted for Sportsbook vendors on $165m earn-out restructuring with Sportingbet plc;
Acted for BMO Nesbitt Burns Inc. as placing agent on the £30 million placing of new shares in AIM listed Cluff Gold plc;
Acted for FTSE 250 MITIE Group plc on numerous strategic acquisitions including Executive Group Limited, Intruder International Limited, The Watch Security Limited and Robert Prettie & Sons Limited;
Acted for public companies listed on both the Official List and on AIM on acquisitions, disposals (including class one and reverse takeover transactions) share issues, flotations, GDR listings and fund raising;
Advised sponsors and nominated advisers in connection with applications to the main list of the London Stock Exchange and AIM;
Advised both U.K. based and overseas financial services companies on the regulatory regime; and
Advised clients on acquisitions and transactions in Germany, France, Italy, Sweden, Spain, Cyprus, Australia, Hong Kong, Russia, the United States and Canada.
