David Li advises clients in various financing and capital markets transactions.

On financing transactions, David regularly advises commercial banks in syndicated and bilateral bank loans, other financial institutions in private financings and PIPE transactions, and Chinese policy banks in export credit financings including Sinosure-backed transactions. In particular, he has substantial experience structuring and executing pre-IPO mezzanine investments by foreign investors in leading Chinese private enterprises engaging in coal, iron and copper mining, solar energy, real estate and consumer product sectors in China.

David has also served as an officer in the fixed income division of a top US investment bank in Hong Kong, covering one of its principal investment desks in the structuring and execution of transactions including pre-IPO mezzanine investments and investments in distressed assets.

On capital markets transactions, David advises issuers and underwriters on IPOs, secondary equity offerings, debt buybacks and private placements, including Rule 144A, Regulation S transactions, and red-chip IPOs by Chinese enterprises.
