Practice Experience
Edgardo Cavalie is a senior associate in the New York M&A Practice Group. His practice is focused on domestic and cross-border public and private mergers and acquisitions, representing domestic and international corporate clients in a broad range of industries, private equity sponsors and financial advisors. 

Mr. Cavalie has a breadth of cross-border transactional experience, which also includes the representation of issuers and underwriters in international securities offerings in addition to merger and acquisition transactions.

Prior to joining White & Case in 2006, Mr. Cavalie was an M&A associate at another leading international firm in New York, where his practice was concentrated on mergers and acquisitions and capital markets transactions primarily involving Latin American companies.  Mr. Cavalie has also worked as a staff attorney of the Peruvian securities regulator.  He started his career with a leading local law firm in Lima, Perú.  

Representative corporate transactions include:
  • Swedish steel manufacturer SSAB Svenskt Stal AB in its acquisition of IPSCO Inc., a NYSE listed steel, for $7.7 billion.
  • SSAB Svenskt Stal AB in the sale of its North American tubular business to Evraz Group, S.A., a Russian steel company, for $4.038 billion.
  • Mobile Mini, Inc., the leading provider of portable storage solutions, in its acquisition of Mobile Storage Group, Inc. a portable storage provider in the U.S. and the U.K. for $716 million.
  • A Spanish steel company in the prospective acquisition of a steel company with mini mill operations in the U.S.
  • Indonesia based Sinar Mas Group, a global conglomerate and the largest producer of pulp and paper in Asia, in its acquisition of pulp mills from Pope & Talbot, Inc. for $225 million, including the assumption of debt.
  • A leading global investor in the energy industry in its bid to acquire generation projects from Consolidated Edison Development, Inc.
  • Deltak L.L.C., a world leader designer, engineer and manufacturer of steam generation and auxiliary equipment, in its restructuring as part of the successful Chapter 11 reorganization of its parent Global Power Equipment Group, Inc. 
  • América Móvil, Latin America's largest provider of mobile phone services in its acquisitions of telecommunication companies in Chile, Paraguay, Nicaragua and Honduras.
  • An international consortium of private equity funds in its proposed, but terminated, bid for the purchase of Light S.A. and UTE Norte Fluminense S.A., electricity distribution and generation companies with operations in Rio de Janeiro, Brazil.
  • Banco Pactual S.A., the leading independent investment bank in Brazil, in its US$3.1 billion sale to UBS, AG and in its 2005 joint venture negotiations with Goldman, Sachs & Co.
  • The private equity division of a global investment bank in the sale of certain portfolio investments in Brazil, Mexico and Argentina; the sale of an information technology company in Brazil; and the sale by a secondary public offering of its investment in a Brazilian health care company.
  • Anheuser-Busch Companies., Inc., in its US$310 million secondary sale of its 20 percent stake in Compañía Cervecerias Unidas S.A., the largest beer and mineral water Company in Chile.
  • Citigroup Inc. in the $3.7 billion sale of its asset management business in exchange for the brokerage-dealer business of Legg Mason, Inc.
  • Cemex, S.A. de C.V. in its US$5.8 billion acquisition of RMC Group plc, a U.K.-based producer of construction materials.
  • Empresas Polar S.A., a Venezuelan industrial conglomerate, in the sale of its stock in Peruvian brewery Unión de Cervecerías Backus y Johnston to Colombian conglomerate Grupo Empresarial Bavaria for US$568 million.

In the past, Mr. Cavalie has also worked on a number of global equity offerings by Brazilian issuers, including Equatorial Energia S.A., Rossi Residential S.A., Lupatech S.A., Porto Seguro Seguros S.A., M. Dias Branco S.A. Indústria e Comércio S.A., and São Martinho S.A.  His work with underwriters in the past includes representing Pactual Capital Corporation, Credit Suisse, UBS, AG, Banco Itaú BBA, and Merrill Lynch, Pierce, Fenner & Smith Incorporated.
