Practice Experience
Frank Lupinacci is an associate in the Mergers and Acquisitions Practice Group, and is a resident in the New York office. Mr. Lupinacci focuses on the representation of corporate clients, private equity funds and commercial banks in connection with domestic and global mergers, acquisitions and equity investments in a broad range of industries. He also provides general corporate and corporate governance advice.
Recent transactions include the representation of:
- Fortis Inc., Canada's largest publicly traded utility, in the US$1.5 billion acquisition of CH Energy Group Inc., a regulated transmission and distribution utility. This transaction marks the initial entry by Fortis into the US-regulated electric utility marketplace.
- Syngenta AG, one of the world's leading agribusinesses with over 24,000 employees in 90 countries, in connection with its $160 million strategic acquisition of substantially all of the assets comprising the global hybrid sunflower seed business of Monsanto Company.
- WellPoint Inc., the nation’s leading health-benefits company with approximately 28 million medical members nationwide, in connection with the sale of its in-house pharmacy-benefit management business to Express Scripts Inc. through a stock and cash deal valued at $4.675 billion, which includes a 10-year contract for Express Scripts to provide pharmacy-benefit management services to WellPoint Inc.
- Cobepa, S.A., a leading Belgian investment firm, in connection with its Series B Preferred Stock investment in a subsidiary of Northern Power Systems, a fully integrated company that designs, manufactures, and sells wind turbines throughout the global marketplace.
- Quad-C Management, Inc. in connection with its acquisition of a certain U.S. company which provides independent end-to-end litigation support and document management services throughout the U.S.
- Lehman Brothers Merchant Banking in connection with its acquisition of all of the outstanding stock of NYSE listed Angelica Corporation, a leading provider of textile rental and linen management services to the U.S. healthcare market.
