Practice Experience
Geraldine is an associate in the Banking & Capital Markets Group and concentrates on corporate finance transactions and securities, with particular focus on high-yield debt offerings. Geraldine has represented investment banks in securities transactions, in particular Rule 144 A and Regulation S high-yield debt offerings. Her experience also includes the representation of companies in connection with general corporate and securities matters.
Prior to joining White & Case, Geraldine worked in the Chicago and Paris offices of a major US law firm.
Representative transactions include:
Representing the Ministry of Finance of the Gabonese Republic on its Rule144A/Regulation S offering of US$1 billion 8.20% Notes due 2017, the first international bond issue by the Gabonese Republic (underwritten by Citigroup and JPMorgan);
Representing HTCC Holdco II B.V. and Magyar Telecom B.V., the indirect parent company of Invitel ZRt., the second largest fixed line telecommunications services provider in Hungary, in its high yield bond issuance of €200 million Floating Rate Senior Notes due 2013 to fund in part the acquisition of Invitel ZRt. by Hungarian Telephone and Cable Corp. (underwritten by Merrill Lynch, BNP Paribas and Calyon);
Representing Bitė Finance International B.V., as issuer, and private equity firm Mid Europa Partners in connection with Bitė Finance International B.V.’s high yield offering of €190 million senior secured floating rate notes due 2014 and €110 million senior subordinated floating rate notes due 2017 (underwritten by Deutsche Bank and Calyon); the proceeds from the offering of the high yield notes were used to refinance a €300 million bridge loan incurred in connection with the consummation of the acquisition by Mid Europa Partners of Bitė, the Lithuanian and Latvian mobile telecommunications operator, in the largest leveraged buy-out in the Baltic region to date;
Representing Orascom Telecom Holding S.A.E. (and its finance subsidiary) on its debut Rule 144A/Regulation S high yield offering of US$750 million 7.875% Senior Notes due 2014, the first high yield bond by an Egyptian corporate issuer to date and the largest debut bond issuance to date for a sub-investment grade corporate bond in the Middle East and Africa (underwritten by Credit Suisse, Citigroup, ABN AMRO and Deutsche Bank);
Representing Pakistan Mobile Communications Limited (a subsidiary of Orascom Telecom Holding S.A.E.), on its Rule 144A/Regulation S high yield offering of US$250 million 8.625% Senior Notes due 2013, the first high yield bond issued by a Pakistani corporate issuer to date (underwritten by ABN AMRO and Deutsche Bank);
Representing UBS Limited as lead manager on a US$125 million 9.75% Loan Participation Notes due 2016 issued by, but without recourse to, Nomos Capital Plc for the sole purpose of financing a subordinated loan to a Russian Joint Stock Investment Commercial Bank “NOVAYA MOSKVA” (Private Limited Company);
Representing Treofan Germany GmbH & Co. KG, a German manufacturer of plastic film, in its Rule 144A/Regulation S high yield offering of €170 million 11% Second Lien Notes due 2013 (underwritten by Citigroup, JPMorgan and Goldman Sachs);
Representing Deutsche Bank AG, BNP Paribas, Calyon and Société Générale on a Rule 144A/Regulation S high yield offering by Europcar Group S.A., a French car rental company, of €300 million Senior Subordinated Secured Floating Rate Notes due 2013 and €250 million of 8.125% Senior Subordinated Unsecured Notes due 2014 to fund in part the purchase of Europcar by Eurazeo S.A.; and
Representing Orascom Telecom Holding S.A.E. and its parent company, Weather Capital S.a.r.l., on the offering by Weather Capital Finance S.A. of €825 million 4.75% Exchangeable Bonds due 2013 (initially exchangeable into existing Global Depositary Receipts representing ordinary shares of Orascom Telecom Holding S.A.E.) (underwritten by Citigroup, Credit Suisse and Deutsche Bank).

Representing BNP Paribas and Société Générale on a Rule 144A/Regulation S high yield offering by FG4 S.A. (a parent company of Saur S.A., a French water and waste management services provider) of €265 million 83/8% Senior Notes due 2015; and
Representing Credit Suisse, BNP Paribas and Calyon on a Rule 144A/Regulation S high yield offering by Rhodia (a French speciality chemicals manufacturer) of €500 million 8% Senior Notes due 2010.
