Practice Experience
Harsha Barot is an associate in the firm’s Banking & Capital Markets group in London.
Harsha's experience includes advising banks in relation to general bank lending, banking and structured finance work in emerging markets, property and corporate acquisitions and disposals, US real estate finance and the real estate aspects of corporate restructuring
Harsha joined the office of White & Case in January 2006 from the office where she worked in the real estate group.
Representative transactions include:
Acting for Mid Europa Partners and its portfolio company, The Wheelabrator Group, in connection with securing the financing of a €250 million acquisition of Denmark-based DISA Holding from Procuritas Capital Investors III. DISA is a leading participant in the global molding and metal surface preparation markets;
Acting for ABN AMRO as arranger and lender in connection with financing the €250 million acquisition of a number of properties in Germany. The borrower is a wholly owned subsidiary of Enterra Holdings S.a.r.l and the facility is a warehousing facility. Additional portfolios will be acquired and funded under this facility;
Acting for BNP Paribas as arranger in relation to the provision of €253 million senior credit facilities and €76 million mezzanine credit facility for the €415 million acquisition by Allianz Capital Partners and ABN AMRO Capital of Sdu N.V., a publishing and security identification group, from the Ministry of Finance of the State of the Netherlands;
Acting for ABN AMRO as arranger of in connection with financing the €184 million acquisition of Dutch and German property owning companies. The borrower is a wholly owned subsidiary of Strategic Value Partners Deutschland GmbH;
Acting for Alliance Bank JSC as originator in the securitisation of diversified payment rights in Kazakhstan by Alliance DPR Company, a Cayman Islands issuer, of $200 million notes, in two tranches, both due 2013. The $100 million Series A notes are fixed rate and guaranteed by the Asian Development Bank and the $100 million Series B are floating rate. The lead arrangers are Merrill Lynch International and HSBC Bank plc;
Acting for Lehman Brothers Co-Investment Partners in its acquisition of a 36 percent interest in Firth Rixson, a portfolio company of The Carlyle Group. Firth Rixson, which operates 15 facilities in the UK, US, Europe and Asia, and employs approximately 2,000 people, is a provider of specialty metal products for the aerospace and general industrial markets. Lehman Brothers Co-Investment Partners is a dedicated co-investment fund and part of Lehman Brothers, the global investment bank. Carlyle will remain the lead investor in the company. Lehman Brothers was the lead underwriter for the debt;
Acting for ABN AMRO in relation to a €104 million German property finance transaction including an amendment agreement and related arrangements and provision of a new interest rate cap; and
Acting for ABN AMRO in relation to €188 million loan to Sponsors JER and Sponda (and various SPV subsidiaries) to enable the borrowers to acquire certain real estate properties in Finland.
