Practice Experience
Joanne Ban's main areas of practice include capital markets, mergers and acquisitions (M&A) and general corporate matters.
On capital markets transactions, Joanne advises both issuers and underwriters on various domestic and cross-border debt and equity offerings, including Rule 144A/Regulation S initial public offerings (IPOs), pre-IPO financings, dual listings and secondary offerings. She also provides regulatory advice on securities regulations and compliance with listing rules of the Singapore Stock Exchange and corporate governance practices.
On M&A transactions, Joanne advises both buyers and sellers in joint ventures, reorganizations, acquisitions, divestments as well as contract negotiation and preparation. She also has substantial experience advising on general corporate matters for listed and private companies and corporate administration.
Recent examples of her experience include representing:
DBS Bank, Citigroup, Goldman Sachs, J.P. Morgan, Morgan Stanley and UBS as the underwriters in the US$2.7 billion (S$4.1 billion) one-for-two rights offering for DBS Group Holdings Limited, the largest commercial banking group in Singapore and one of the leading banking groups in Hong Kong, in terms of asset size. This is the largest offering ever in Singapore and one of the largest offerings in Asia to-date.
UBS AG acting through its business group UBS Investment Bank, as the sole financial advisor and the issue manager, in the preferential offering of new units by PST Management Pte. Ltd., as trustee-manager of Pacific Shipping Trust.
China Development Bank in its proposed acquisition of a majority stake in a major German bank.
DBS Bank Ltd and CIMB-GK Securities Pte. Ltd., as the joint underwriters and placement agents, in the Regulation S IPO of Kencana Agri Limited, a producer of crude palm oil and crude palm kernel oil in Indonesia, with a listing of shares on the Singapore Stock Exchange.
Deutsche Bank and Merrill Lynch, as the joint issue managers, financial advisers, bookrunners and underwriters, in the Rule 144A/Regulation S IPO of Indiabulls Properties Investment Trust listed on the Singapore Stock Exchange.
Samko Timber Limited, a leading timber processing company in Indonesia and one of the top five tropical hardwood plywood producers globally, in the Regulation S IPO, with a listing of shares on the Singapore Stock Exchange. This is the first Indonesian timber processing company to be listed on the Singapore Stock Exchange.
Citigroup and UBS AG acting through its business group UBS Investment Bank, as the joint lead underwriters, in the Regulation S IPO of Parkway Life Real Estate Investment Trust listed on the Singapore Stock Exchange.
Merrill Lynch and Deutsche Bank, as the joint bookrunners, joint lead managers, issue managers and underwriters and DBS Bank Ltd as joint lead manager, coordinator of the public offering and underwriter, in the Rule 144A/Regulation S IPO of Mercator Lines (Singapore) Limited, an Indian owned dry bulk shipping company, listed on the Singapore Stock Exchange. This is the first Indian shipping company to be listed on the Singapore Stock Exchange.
Oversea-Chinese Banking Corporation Limited, as the manager, underwriter and placement agent, in the IPO of Z-OBEE Holdings Limited listed on the Singapore Stock Exchange.
Oversea-Chinese Banking Corporation Limited, as the manager, underwriter and placement agent, in the IPO of Dutech Holdings Limited listed on the Singapore Stock Exchange.
Joanne started her legal career in the corporate and capital markets practice group of a major Singapore law firm. Prior to joining White & Case, she was an associate director of a boutique corporate law practice in Singapore.
