Practice Experience
Mr. Brazil represents major commercial and investment banks as lead agents and arrangers in all aspects of financing transactions, with an emphasis on acquisition and leveraged financings. As counsel for the agent banks, Mr. Brazil is involved in all aspects of structuring, negotiating and documenting such transactions, including the negotiation of security arrangements and intercreditor arrangements. Mr. Brazil has represented lenders in transactions involving borrowers operating in a wide variety of industries, including manufacturing, health, hotels, retail, food, industrials, pharmaceuticals and media and communications.
Representative clients of Mr. Brazil are Deutsche Bank, Morgan Stanley, Bank of America and The Bank of Ireland. Recent financings in which Mr. Brazil was lead counsel representing the agent or agents for the senior bank group include Ripplewood Partners and Oak Hill Capital Partners' acquisition of Rental Service Corporation, General Atlantic Partners' acquisition of Network Solutions, AEA Investors LLC's purchase of Houghton International, Inc. and D.A. Stuart Holding Gmbh, The Jordan Company's purchase of Haas TCM, Inc., the spin-off of Abraxis Bioscience's oncology and research business and corporate financings for IBM, Nighthawk Radiology and American Rock Salt. He also represents financial sponsors in a variety of matters, including Harvest Partners' acquisitions of Natural Products Group, HydroChem Industrial Services, Aquilex, US Silica and Encanto Restaurants and Quad-C Management's acquisitions of Classic Party Rental and Behavioral Interventions.
