Practice Experience
Mr. Delgado is an associate in the Firm's Corporate and Financial Services Group. His practice includes a broad range of general corporate commercial representations, including bank financings, private securities offerings, aircraft financings and mergers and acquisitions.
Significant recent experience includes:
- 2008—Represented WestLB AG, New York Branch, as Administrative Agent, in an US$85 million syndicated senior secured acquisition financing to Pesquera Exalmar S.A., a leading fish oil and fish meal producer in Peru;
- 2008—Represented Braskem S.A., the leading petrochemical company in Latin America and the second largest Brazilian-owned private sector industrial company, in connection with the US$500 million offering of 7.250% notes due 2018 under Rule 144A and Regulation S by its wholly owned subsidiary Braskem Finance Ltd.;
- 2007—Represented Santander Investment Securities, Inc., as lead arranger, in a US$350 million syndicated senior secured bridge financing to Arcos Dorados B.V. for the acquisition of the holding companies which indirectly own McDonald's operations (including approximately 1,600 restaurants to be operated under a 20-year master franchise agreement) in 18 jurisdictions in Latin America and the Caribbean;
- 2007—Represented Banco Santander S.A., Institución de Banca Múltiple, Grupo Financiero Santander and Standard Chartered Bank, as Administrative Agents, in a MXN$421.9 million / US$111 million Dual Currency Senior Unsecured Credit Facility to Grupo Petrotemex, S.A. de C.V., the sole producer in Mexico and the second-largest producer and supplier in NAFTA of purified terephtallic acid (PTA) and dimethyl-terphtalate (DMT), the main raw materials for the production of polyester derivatives, and a significant producer of polyethylene terephthalate (PET) and polyester fibers;
- 2007—Represented Rede Empresas de Energía Eléctrica S.A., a Brazilian electricity generation and distribution company, in its initial offering and sale of US$400 million aggregate principal amount of 11.125% perpetual notes under Rule 144A and Regulation S, and its follow-on offering and sale of US$175 million aggregate principal amount of these notes under Rule 144A and Regulation S;
- 2007 - Corporación Durango, S.A.B. de C.V., a Mexican paper and packaging company, in the offering and sale of US$520 million aggregate principal amount of its 10.50% senior notes due 2017 under Rule 144A and Regulation S, and its contemporaneous tender offer for any and all of its Series B Step Up Rate Senior Secured Guaranteed Notes due 2012;
- 2007—Represented EGE Haina Finance Company, a wholly owned subsidiary of Empresa Generadora de Electricidad Haina, S.A., the largest power generator in the Dominican Republic, in connection with its offer and sale of US$175 million 9.50% Senior Notes due 2017 pursuant to Rule 144A and Regulation S; and
- 2006—Represented HSBC Bank plc, as administrative agent, in a US$500 million Senior Revolving Credit Facility for CVRD International, S.A., guaranteed by its parent, Companhia Vale Do Rio Doce, a Brazilian mining company which is the world's largest iron ore exporter.
