Practice Experience
Jason Emala is an associate in the Firm's Capital Markets Group. Jason has experience representing both issuers and underwriters in private debt and equity offerings in the United States pursuant to Rule 144A and outside of the United States pursuant to Regulation S, as well as in SEC-registered offerings.

Jason joined White & Case's London office in 2007 and moved to the New York office in 2010. Prior to joining White & Case, he practiced in the Washington, DC office of a major New York law firm representing both issuers and underwriters in securities offerings as well as representing private equity funds and companies in connection with M&A transactions.

Examples of recent notable transactions on which Jason has advised include:
  • Acting for Deutsche Bank, as global coordinator and sole book runner, with respect to the international rights offering by BRE Bank SA, a leading Polish Bank.
  • Acting for TNK-BP, a leading Russian oil and gas company, with respect to its issuance of US$500 million 6.25% Notes due 2015 and US$500 million 7.25% Notes due 2020.
  • Acting for HSBC, as global coordinator and sole book runner, with respect to the international rights offering by Bank Millennium S.A., a leading Polish Bank.
  • Acting for the Republic of Lithuania with respect to its issuance of US$1.5 billion 6.75% Notes due 2015.
  • Acting for AB Volvo with respect to its US$750 million guaranteed bond offering through its subsidiary Volvo Treasury AB.
  • Acting for the State Treasury of the Republic of Poland with respect to the establishment of its SEC-registered debt shelf and two offerings of 6.375% senior notes thereunder in an aggregate amount of US$3.5 billion.
  • Acting for Svenska Handelsbanken AB, a Swedish Bank, with respect to the establishment of its USMTN Program and two offerings of senior notes thereunder in an aggregate amount of US$3.75 billion.
  • Acting for Norske Skogindustrier ASA, a Norwegian paper producer, with respect to its cash tender offer for up to US$150 million in principal amount of its US$600 million 7.625% Notes.
