Practice Experience
Jason Kerr is a partner in the Energy, Infrastructure and Project Finance Group in London. He has substantial experience advising commercial banks, multilateral lending agencies, export credit agencies, sponsors and developers in project and international finance.
Jason's practice has primarily focused on project, receivables and trade-related financings in the emerging markets of Central Europe, the Middle East, Africa and Asia. He has been involved in a wide range of projects in various sectors including oil and gas, power and infrastructure.
Representative transactions include:
- Representation of Nord Stream AG in connection with Phase 1 and Phase 2 of the €9bn Nord Stream gas pipeline project connecting the Russian and European gas grids which raised €6.5bn of debt in the international project finance market (supported by Hermes, Sace and UFK);
- Representation of JBIC and the international commercial banks in connection with the US$20 billion project financing of the Sakhalin II (Phase 2) integrated oil & gas and LNG Project in Russia;
- Representation of EnerjiSA Enerji Üretim A.S. in connection with the development of up to 5 GW of merchant power assets in Turkey (including hydro, CCGT, wind and lignite), which has raised €1.9 billion of project debt to date through a portfolio financing framework funded by the international and domestic syndicated bank markets including IFC and EIB;
- Representation of the lead sponsor, ADWEA, in connection with the project financing of Abu Dhabi's IWPP projects including the Shuweihat S2, Fujairah, Taweelah and Umm Al Nar IWPP projects;
- Structuring and drafting the pre-export finance programme for Gazprom utilising international gas sales contracts as collateral raising in excess of US$8.5 billion;
- Representation of the arranging banks in the reserve base financing of a stake in the Chinguetti oil filed offshore Mauritania, Mauritania's first international project finance;
- Representation of the arranging banks in the project financing of a hotel in Tripoli, Libya's first international project financing;
- Representation of the arranging banks in the project financing of the US$1 billion Gebze combined cycle gas merchant power plant project in Turkey;
- Representation of the Siemens/STEAG consortium in connection with the project financing (including ECA and IFI covered tranches) on a BO basis of a US$1.45 billion 1210 MW imported coal-fired power plant in Iskenderun, Southern Turkey;
- Representation of the arranging banks and the ECAs in the US$969 million project financing (including ECA covered tranches) of a urea ammonia fertiliser plant in the Sultanate of Oman;
- Representation of the arranging banks in the US$1.2 billion bridge financing and US$3 billion medium term secured financing for Gazprom's Yamal-Europe gas pipeline;
- Representation of the the international and Nigerian arranging banks in the US$1.06 billion project financing (including ECA and IFI covered tranches) of the fourth and fifth trains of NLNG's gas liquefaction complex in Nigeria;
- Representation of a syndicate of Indian banks in the US$660mm project financing of Sanmar's petrochemical complex in Egypt;
- Representation of the arranging banks in the US$765 million crude pre-export financing facility for OAO Lukoil;
- Representation of the arranging banks in a US$100 million reserve based loan facility to an oil junior which owns a number of Russian oil production subsidiaries;
- Structuring and coordinating EBRD's trade facilitation programme in Central Europe.
