Practice Experience
John is a partner in the Corporate Department of the Firm's London office. He has a broad corporate, transactional and equity capital markets practice, including experience in public (UK Takeover Code) and private mergers and acquisitions, disposals, joint ventures, initial public offerings and secondary offerings.
John's experience since joining White & Case includes advising:
- Residential Capital LLC (ResCap), the mortgage subsidiary of GMAC Financial Services, on the sale of its European mortgage assets and businesses to subsidiary funds managed by Fortress Investment Group LLC;
- MITIE Group plc on its acquisition of the UK technical facilities management operations of Dalkia PLC for £130 million in cash and MITIE Group plc’s related cash box placing to raise approximately £43 million;
- Acergy S.A. on its proposed combination with Subsea 7 Inc. creating a combined entity with a market capitalization of approximately US$5.4 billion;
- Afren plc on its move from AIM to the Official List and related US$200 million placing of new shares; and
- TNK-BP on its proposed accelerated book build and stakebuilding offer for shares in Sibir Energy plc.
Prior to joining the firm in July 2008, John was an associate at a leading UK law where his experience included advising:
- Whitbread plc on its £18.5 million acquisition of three London hotels;
- Ashmore Global Opportunities Limited on its €500 million initial public offering on the Official List of the London Stock Exchange;
- Punch Taverns on the establishment of a joint venture with Constellation Brands in relation to Matthew Clark and the disposal of 869 pubs to Admiral Taverns;
- Shire plc on its US$900 million secondary placing in connection with its acquisition of New River Pharmaceuticals Inc;
- Dresdner Kleinwort in relation to the offer for European Motor Holdings;
- Ashmore Group Limited on its £1.2 billion initial public offering on the Official List of the London Stock Exchange;
- GlaxoSmithKline on its €500 million acquisition of Arixtra® and Fraxiparine®; and
- GlaxoSmithKline plc and Whitbread plc in relation to their share buyback programs.
