Practice Experience
Jayanthi Sadanandan is a partner in the Firm’s Banking & Capital Markets group in London. She has experience advising banks, financial institutions and companies on a wide range of banking and finance transactions, including cross-border acquisition finance, structured finance, investment grade finance, trade finance and general banking matters. Jayanthi is also experienced in a wide range of corporate transactions, including mergers, acquisitions and joint ventures. Prior to joining the White & Case London office, she worked in the firm’s Los Angeles office.
Representative transactions include:
Acting for the mandated lead arranger, in connection with the provision of credit facilities to a CVC Capital Partners incorporated SPV for the US$1.7 billion acquisition of travel accessory manufacturer Samsonite Corporation (a Delaware entity) by CVC. The financing comprises senior, revolver, second lien and PIK facilities;
Acting for the Mandated Lead Arrangers Calyon, Deutsche Bank AG, London Branch, BNP Paribas and Société Générale in relation to a €2.6 billion (subject to increase to €2.9 billion) senior asset financing loan in the form of a secured borrowing base loan coupled with a €250 million senior secured revolving credit facility in connection with Europcar Groupe SA and Eurazeo's acquisition of Europcar Group, the leading car rental organisation in Europe;
Acting for BNP Paribas and Royal Bank of Scotland Group PLC, as lead arrangers, for the US$2.9 billion international fleet bridge loan facilities backing the sponsor group's acquisition comprising Clayton, Dubilier & Rice, Inc., The Carlyle Group and Merrill Lynch Global Private Equity to help finance their US$15 billion acquisition of The Hertz Corporation. The international fleet bridge loan facilities provides financing in 12 countries;
Acting for CIBC and JPMorgan on a bolt on acquisition of the Flint Ink Group by way of amending and restating the BASF Drucksysteme GmbH/ANI Printing Inks senior facilities agreement to include a further term debt, cash bridge and a second lien facility, the total amounting to US$1.35 billion new term facilities and a €60 million increased revolver; and
Acting for CIBC, Deutsche Bank and Morgan Stanley in connection with the provision of €1.005 billion of senior debt, €70 million second-lien and €200 million mezzanine financing to CVC Capital Partners for the acquisition of Ruhrgas Industries GmbH, the metering and furnacing division of E.ON Ruhrgas AG. We also acted for Deutsche Bank in the provision of staple financing. The total size of the acquisition is €1.5 billion including assumed debt and pension liabilities.
