Practice Experience
Jiří Tomola concentrates on financing, financial restructuring, securities, mergers and acquisitions, and legal services for financial institutions, including private equity funds. He joined White & Case in January 2003. Before commencing at White & Case, he worked as a lawyer for one of the largest Czech banks, where he represented the bank during the negotiation of bilateral loans, syndicated loans, and other commercial transactions. He also participated in the preparation of form contractual documentation and the bank's general terms and conditions.
Since joining White & Case, Jiří regularly advises major Czech and international financial institutions and corporations in connection with syndicated credit facilities, bilateral credit agreements, and other international and domestic financing arrangements, including secured real estate financing.
In the area of financing, his experience has included the representation of Citibank, a.s., ABN AMRO Bank N.V., and Česká spořitelna, a.s., in connection with CZK 3.6 billion financing of a Czech industrial holding company operating in the rubber industry. Recently, Jiří represented Česká spořitelna, a.s. and Raiffeisenbank a.s. in connection with financial restructuring and refinancing of a major Czech construction company; and ABN AMRO Bank N.V. and Česká spořitelna, a.s. in connection with provision of a working capital facility to VÍTKOVICE STEEL, a.s., a Czech major steel producer. He also represented several Czech and Slovak banks as well as the Czech subsidiaries of foreign banks in connection with secured export financing facilities insured by EGAP, the Czech state-owned export insurance agency.
He has represented numerous industrial companies and other entities with regard to various financial arrangements, including syndicated financing, cash-pooling arrangements, and intra-group financing transactions. Among other clients, he represented the Czech Deposit Insurance Fund (
Fond pojištění vkladů
), a Czech deposit insurance entity, in connection with its debut CZK 3 billion syndicated facility in connection with the payout of the claims of insured depositors of Union banka, an institution on whose assets bankruptcy was declared. He also represented several borrowers in connection with their financial transactions that involved acquisition of real estate, security over real estate, or other financial arrangements typical for the real estate industry.
In addition to that, Jiří has significant experience in the field of non-performing loan sales and restructuring. Among others, he represented Česká spořitelna, a.s. in connection with the sale of its loan portfolio in the nominal value of CZK 12.3 billion to J.P. Morgan Securities and GE Capital in the acquisition of non-performing loan portfolios from Slovenská konsolidačná agentúra.
He regularly advises banks and other financial institutions in connection with their investments and on various regulatory aspects. Recently, he has been engaged in representation of a major Czech bank in the structuring of its investment into real estate investment vehicles as well as in the subsequent set up of two real estate investment funds
for EU investors focused primarily on investments in real estate located in the Central European Region.
He has advised a number of buyers in various acquisitions of real estate, including representation of Dutch-based investment funds and a group of Irish investors in connection with the purchase of several office buildings and land tracts in Prague and related real estate financing.
In the area of securities, he participated in representation of ČEZ, a. s., the largest power company in the Czech Republic, with regard to a CZK 30 billion MTN program in 2003 and the issuance of bonds under this program.
