Kateřina Klímová provides legal services in the areas of mergers and acquisitions, corporate and labor law, business restructurings and general commercial law. Prior to joining White & Case, Ms. Klímová worked in the Prague office of respected law firm for two years.
Private Equity and M&A
In the area of mergers and acquisitions, Ms. Klímová has represented clients both within the context of tender procedures and exclusive sales. Ms. Klímová's advisory services include involvement throughout the entire transaction process, from the preparatory stage of acquisitions (i.e. in particular, legal due diligence of the target company and setting up the transaction structure), as well as advice during the acquisition stage, and frequently also post-acquisition structuring and corporate advice.
Recently, Ms. Klímová has provided comprehensive legal services to:
- ARX CEE III LP Fund in acquiring a 100 percent share in MANAG, a.s., a production company operating in the field of measuring and control systems technology, electronic fire protection systems, gas detection and explosion-proof electrical devices, and its subsidiary MANAG Sk, spol. s r.o.;
- The founders/shareholders of BATIST s.r.o., a leading Czech manufacturer and distributor of healthcare and sanitary aids and materials, in the split-up of the production and distribution parts of the business and the subsequent sale of 100 percent of the shares in BATIST Medical a.s. to OneMed Group, a leading medical supplier with operations in Northern Europe;
- PPF Group in the acquisition of the 100 percent share in EUROCLINICUM a.s., the largest Czech group of private hospitals and clinics;
- Mid Europa Partners concerning the Czech aspects of the acquisition of DISA Holding Group, a leading participant in the global molding and metal surface preparation markets, from Procuritas Capital Investors III; and
- Nordic Capital in connection with the transfer of the ConvaTec Division as a going concern from Bristol-Myers-Squib.
Corporate Law, Corporate Governance, Labor
Ms. Klímová provides advisory services related to corporate restructuring and company management, including corporate governance structuring and employment aspects. Ms. Klímová’s experience includes advising on the following matters and transactions:
- Celestica, a Canadian multinational company, in connection with the closure of its Kladno site (labor and corporate advisory) and the sale of its assets to LEGO;
- Megatech Group, an Austrian multinational production company, in connection with the corporate restructuring of the former ETA Hlinsko group of subsidiaries;
- Stafford Group in connection with shutting down its local presence and the subsequent liquidation of a retail chain in the Czech Republic; and
- Celestica, a Canadian multinational company, in connection with the closure of its Rajecko site and the transfer of its assets and employees to third party investor.
