Practice Experience
Kenneth Regensburg is Counsel in the Mergers & Acquisitions Practice Group resident in the New York office. His practice focuses on domestic and cross-border mergers and acquisitions and private equity transactions. Mr. Regensburg also regularly counsels clients on securities law and general corporate matters.
Mr. Regensburg has advised clients in a variety of domestic and cross-border transactions, including cash and stock-for-stock mergers, stock and asset purchases and sales and third party and issuer tender offers. Mr. Regensburg has represented acquirers and target companies in numerous going private transactions and has counseled financial advisors and special committees of boards of directors in their analysis and negotiation of such transactions.
Mr. Regensburg has represented buy-out funds, institutional investors and strategic acquirers in leveraged acquisitions, strategic equity and corporate partnering investments, recapitalizations and restructurings involving various industries. He has represented a number of public and private European industrial and service companies doing business in the U.S., including companies with activities in energy, healthcare, transportation and telecommunications. Mr. Regensburg also regularly represents real estate clients in connection with their ongoing investment activities, including entering into joint ventures with local partners and making strategic investments for their own accounts.
With respect to securities law matters, Mr. Regensburg has counseled public companies on corporate governance issues, U.S. securities law reporting requirements and public and private offerings of equity and debt securities. He also regularly provides advice to non-U.S. clients regarding the application of the U.S. securities laws to cross-border tender offers.
Some recent representative transactions in which Mr. Regensburg has been involved include:
ABB, the global technology group, in connection with the $950 million sale of its downstream oil and gas business, Lummus Global, to Chicago Bridge & Iron Co.
Starwood Capital Group, a leading global investment management firm that specializes in real estate-related investments, in connection with its formation of various joint ventures and other investments in real estate assets in the US and abroad.
Royal Ahold in connection with its sale of US Foodservice, the second-largest broadline foodservice distributor in the United States, to a private equity consortium consisting of Kohlberg Kravis Roberts & Co. and Clayton, Dubilier & Rice for a purchase price of $7.1 billion.
Pitney Bowes, a global provider of integrated mail, messaging and document management solutions, in connection with its $1.2 billion sale of its capital services external financing business to an affiliate of Cerberus Capital Management.
Adecco, the world’s largest provider of human resources services, in connection with its cross-border tender offer for rival German recruitment consultancy, Deutsche Industrie Service (DIS), for €636 million.
iPayment, a provider of credit and debit card-based payment processing services, in connection with its $890 million going private transaction.
Prior to joining White & Case, Mr. Regensburg was associated with the New York office of another leading international firm.
