Practice Experience

Laurel W. Glassman practices in the Energy, Infrastructure and Project Finance Group. Her practice includes representation of franchised public utilities, independent power producers, electricity marketers, qualifying facilities, large industrial ratepayers, and debt and equity investors in a wide variety of matters, including mergers and acquisitions, spin-offs and restructurings, market-based rate proceedings, contract drafting and negotiations, settlements, and advice on state and federal regulatory issues. She has nearly 30 years of experience representing clients before the Federal Energy Regulatory Commission (FERC), and has also represented clients before state public utility commissions and in federal courts.

Ms. Glassman routinely advises clients with respect to matters arising under the Federal Power Act and the Public Utility Holding Company Act of 2005. She has significant experience with respect to complex qualifying facility issues, and has published extensively on developments in the qualifying facilities sector.

Ms. Glassman has negotiated, drafted and advised clients on power supply agreements, tolling agreements, steam sales agreements, and interconnection agreements. She has also drafted amendments to a number of power purchase agreements in the context of settlement negotiations.

Representative Matters

Lead attorney on electricity issues for the successful $7.7 billion Duke/Pan Energy merger.
Represented LG&E Energy Corp. in its successful merger with Kentucky Utilities, as well as PG&E National Energy Group in its successful acquisition of the New England Electric System generating facilities.
Represented Fortis, Inc. in its acquisition of a distribution utility.
Represented PG&E National Energy Group, among others, in a variety of internal corporate restructurings.
Represented Pacific Gas and Electric Company on federal electricity issues relating to its bankruptcy workout.
Represented a variety of investor-owned public utilities on PUHCA 2005 and interlocking directorate compliance issues.
Assisted in the representation of Constellation Energy Group in the spin-off of Baltimore Gas and Electric Company’s generating facilities to form what is now known as Constellation Generation Group as part of the retail restructuring initiatives in Maryland.
