Practice Experience
Michael is an associate in the Firm's Banking & Capital Markets group in London. He has advised on a range of capital market products acting primarily for underwriters on Reg S and Rule 144A offerings for entities in the emerging markets of Central and Eastern Europe.
Michael joined White & Case in September 2003 from a leading international law firm.
Examples of recent notable transactions which Michael has been involved in include:
Acting for the dealer manager in connection with a tender offer and consent solicitation relating to US$200 million 8.75% Notes due 2010 issued by Interpipe Limited;
Acting for Dresdner and UBS as lead managers for Nadra Bank’s issue of US$100 million Loan Participation Notes;
Acting for TNK–BP as issuer and guarantor on its US$1 billion 10 year Eurobond issue and US$500 million 5 year Eurobond issue;
Acting for Credit Suisse and ABN AMRO as lead managers on JSC Concern Sitronics’ US$200 million Eurobond issue;
Acting for Deutsche Bank as lead manager in Marksans Pharma’s US$50 million Zero Coupon Convertible Bonds issue;
Acting for Ukreximbank on its US$250 million Loan Participation Notes issue, the first Loan Participation Notes issue to be listed on the SWX Swiss Exchange;
Acting for ING on a debut US$125 million 7.875% Loan Participation Note issue for JSC Stirol (a Ukrainian chemical production company), the first Loan Participation Notes to be listed on the London Stock Exchange following the implementation of the Prospective Directive in Europe;
Acting for Lehman Brothers as arrangers of the establishment of the Slovak Republic’s EMTN programme;
Acting for Dresdner Kleinwort Wasserstein and UBS as lead managers for Ukreximbank's US$100 million tap issue and US$40 million subordinated Loan Participation Notes issue;
Acting for CSFB and HSBC as lead managers for the JSC ATF Bank's US$200 million Eurobond issue;
Acting for CSFB and JPMorgan as lead managers for the JSC Halyk Bank's US$200 million Eurobond issue;
Acting for the City of Ostrava in its €100 million Eurobond issue;
Acting for Deutsche Bank and Bender Securities on Dogus Otomotov Servis ve Ticaret A.S.'s US$170 million share offering;
Acting for Deutsche Bank as lead manager for NIKoil IBG Bank's US$150 million Loan Participation Note issue;
Acting for Euronext N.V.'s on its £250 million Eurobond issue;
Acting for UBS as lead manager on Sberbank's US$1 billion Loan Participation Notes issue; and
Acting for Konica Minolta as issuer and Merrill Lynch International as arranger on the annual update of Konika Minolta and American Honda's EMTN programmes.
