Practice Experience
Massimo Galli is Counsel in the Firm’s Banking and Capital Markets Group. He has a wide experience in international capital markets and corporate transactions across multiple jurisdictions.
Prior to joining White & Case, Massimo was Principal Counsel at the European Bank for Reconstruction and Development (EBRD) from 2003 to 2007. While at EBRD, Massimo worked on a variety of project finance, M&A, private equity, capital markets, structured finance and sovereign financing transactions in Central and Eastern Europe and Central Asia.
Between 1996 and 2003, Massimo was involved in capital markets and M&A work at the New York, London and Singapore offices of two major US law firms.
Massimo has represented underwriters and issuers in US registered and unregistered equity and debt offerings, including high-yield, convertible and exchangeable securities; lenders, sponsors and concessionaires in international project finance transactions; as well as acquirers and targets in cross-border M&A operations.

Capital Markets
Acting for Goldman Sachs and Citi Salomon Smith Barney in the Rule 144A/Regulation S multi-tranche global offering (Luxembourg and Singapore listed) of investment grade debentures by Singapore Telecommunications Limited;
Acting for Morgan Stanley and Lehman Brothers in the US registered NASDAQ-listed initial public offering of Ceragon Networks Ltd.;
Acting for ST Microelectronics in its Rule 144A/Regulation S global offering of convertible notes (listed on Euronext Paris);
Acting for Coin S.p.A. in its Italian initial public offering and Rule 144A/Regulation S global offering;
Acting for Orascom Construction Industries, S.A.E. (Egypt) in its Regulation S/Rule 144A global offering of ordinary shares;
Acting for Chase Manhattan and Merrill Lynch in the Rule 144A/Regulation S global offering of Units (consisting of high-yield notes and warrants) (Luxembourg listed), and subsequent US, registered exchange offer by means of Form F-4, by Grapes Communications N.V.;
Acting for Merrill Lynch in the Rule 144A/Regulation S global offering of convertible notes (LYONS) (Luxembourg listed) by Roche Holdings, Inc; and
Acting for Benetton S.p.A. in its Rule 144A/Regulation S global offering (Luxembourg listed) of guaranteed exchangeable notes.
Mergers and Acquisitions
Advising EBRD on its equity investment in Banca Comerciala Romana S.A., Romania’s largest commercial bank, and on the later exit from the investment in the context of the bank’s privatisation;
Advising EBRD on its equity investment in Raiffeisen International Bank-Holding AG and later on the partial exit, as a selling shareholder, in the context of the bank’s initial public offering;
Advising EBRD on the sale of its stake in Domenia Credit S.A., a Romanian financial institution, to General Electric Capital Corporation;
Advising EBRD on its equity investment in Grandi Stazioni Ceska Republika;
Advising EBRD on its equity investment in Veolia Transport GmbH, the holding company for the Veolia group’s transport operations in Central and Eastern Europe; and
Acting for Olivetti S.p.A. in the sale of Olivetti Solutions S.p.A. to Wang Laboratories Inc.
Project Finance
Advising EBRD on the limited recourse financing to the concessionaire of the international airport of Yerevan, Armenia, for the development of a new passenger terminal;
Advising EBRD on the limited recourse financing to the operator of the port of Constanta, Romania, for the development of a new barge terminal;
Advising EBRD on a sovereign loan to the Republic of Albania for the financing of the construction of the Fier-Tepelene highway; and
Advising EBRD on the financing of a green-field pharmaceutical plant in the Russian Federation, in a project sponsored by Solvay Pharmaceuticals BV.
