Martin Jurečko joined White & Case in 2004.  His practice involves real estate, mergers and acquisitions, and general corporate law.

Real Estate

In the field of real estate, Mr. Jurečko has provided legal advisory services for an extensive range and number of real estate transactions involving real estate funds as well as international and local developers in connection with large multi-functional development projects in Slovakia. His experience spans residential, hotel and administrative projects, in addition to retail and Greenfield projects involving the construction of new manufacturing plants in Slovakia. He is also experienced in the review and negotiation of lease contracts for retail industrial and office facilities. His foremost clients include:

• GE Real Estate, on its shopping mall purchase project in Trnava and forward purchase of shopping malls in Trenčín and Poprad. 
• TriGranit Corporation, in connection with the purchase of large plots of land in the south-western part of Bratislava for its intended multi-functional development project.
• Quinlan Private, on its joint venture projects with a local development company Cresco Development, in connection with three projects – the residential Three Towers project, a hotel project in Bratislava, and the "South City – Petržalka" development project consisting of a completely newly developed neighborhood to be located in the southern part of Bratislava.
• The real estate fund D.B.Zwirn in connection with its joint venture company project related to the acquisition of a large portfolio of plots of land and their further development in cooperation with the local developer Profinex holding.
• Ahold Royal Group, in connection with the expansion of its retail chain in the Slovak Republic.
• A major Slovak bank and a major Czech bank, in connection with setting up two real estate investment funds in the Netherlands focused on investing in the CEE region as a whole, advising the client on legal issues related to the formation and structuring of the funds.
• two real estate investment funds, the Czech and Slovak Property Fund and the CEE Property Development Portfolio, on seven transactions in Slovakia. The engagements include advising on transactions such as the purchase of office buildings; the purchase of shopping centers; the purchase of a land portfolio, investment in the development of residential housing; and shopping centers.
• Benson Elliot Capital Management on its joint venture project with Dorchester Group, in connection with the real estate (land and structures) acquisition in Bratislava for a contemplated residential development project. The services provided in the project included advise on the purchase of the parcels and buildings and  further development of the residential housing project.
• Dorchester Group in connection with forward purchase acquisitions in Bratislava vicinity with the intention of developing the residential projects.
• The Embassy of the United States in the Slovak Republic regarding the establishment of a security perimeter around the embassy.
• First Title UK, an English based subsidiary of First American Corporation, a company that provides a wide range of ownership title insurance and other property services, in connection with title insurance in various real estate transactions in Slovakia.

Mergers and Acquisitions

Mr. Jurečko’s legal services also include advising clients on merger and acquisition projects spanning from running the due diligence investigation process through the legal structuring of the transaction to the drafting, negotiating and signing of the transaction documentation, to the closing and further consolidation of the acquired entities.  Among others, he has represented the following primary clients:

• Sisu Capital, a private equity fund, in connection with its contemplated acquisition of a holding company, which owned several poultry producing facilities throughout Slovakia.
• EQT, a private equity group with operations in Northern Europe and Central Europe, in connection with the acquisition of sanity ware production facilities throughout Europe, including the Czech Republic and Slovakia.
• Connex Northern Europe, a Swedish transportation company, in connection with its acquisition of KMV Bus s.r.o., a local provider of city, intercity and regional bus transportation.
• ISAP consortium, in connection with its contemplated bid in the privatization process of two major Slovak airports located in Bratislava and Košice.
• Nordic Capital, in connection with its acquisition of Slovak-based automotive parts producers.
• Enterprise Investors, the largest Central and Eastern European private equity group investing in the above region, in connection with its contemplated acquisition of Hame – an international food producer operating on the markets of Slovakia, the Czech Republic, Russia, Romania and Hungary.
• Enterprise Investors on its acquisition of the STD SLOVAKIA s.r.o. trucking company headquartered in Slovakia, through which Enterprise Investors further acquired DONIVO MKD s.r.o.., another Slovak trucking company.

General Corporate Law

In addition to the foregoing, Mr. Jurečko has provided legal services to various clients in the field of corporate agenda including general corporate matters, day to day corporate agendas and legal issues related to the restructuring of entities within Slovakia and European Union. His major clients in this area include:

• Peugeot Citroën Automobiles in connection with its large Greenfield project consisting of the construction of its automobile assembly plant in the Slovak Republic.
• Air Slovakia, one of the largest Slovak airline companies, in connection with its corporate agenda and the negotiation of lease agreements regarding several aircrafts for its fleet.
• Johnson Controls, a U.S.-based multinational producer of automotive interiors and batteries, in connection with two investment projects in Slovakia and the additional expansion of its operations in Slovakia.
• Ahold Royal Group, in connection with the internal restructuring of its entities in Slovakia.
• Visteon, a producer of automotive parts, regarding its corporate agenda.
• Unomedical A/S, a Danish company producing medical devices, in connection with the establishment of its Slovak production plant.
• T-Systems, a division of Deutsche Telekom, in connection with the establishment and further expansion of its operations in the Slovak Republic.
