Practice Experience
Michał Kalicki focuses on the practice in respect of banking and finance law, as well as civil and commercial law.
He advised financial institutions and private equity funds in project finance, structured finance and acquisition finance transactions, as well as in connection with regulatory issues within the scope of banking and capital markets, in particular regarding cash-pooling structures, derivatives documentation, consumer finance, and brokerage activity. He also has experience in advising borrowers in project finance transactions.
Michał Kalicki is a member of the team advising financial institutions in connection with securitization projects, as well as projects related to the acquisition and sale of irregular loan portfolios. He participated in the works related to the establishment of a securitization fund, negotiation of agreements between the securitization fund and investors, and between the securitization fund and third parties, including agreements regarding the acquisition and sale of loan portfolios, as well as portfolio service agreements. He also advised a leading Polish bank in connection with a detailed feasibility study for a large securitization project. He worked for DB Zwirn and Emerging Europe Investors, in connection with selected issues regarding participation in the tender procedure regarding the acquisition of an irregular loan portfolio from PKO BP S.A.
Michał Kalicki was a member of a team advising Mid Europa Partners LLP in connection with the LBO of shares in Aster City Cable from Hicks Muse Tate & Furst, in particular within the scope of commercial law issues related to Mid Europa Partners LLP's takeover of control over companies from the Aster City Cable group.
He was also a member of a team advising the European Investment Bank and the Nordic Investment Bank on the EUR 640 million financing for the design, construction, operation and maintenance of the A1 motorway in Poland (Rusocin-Nowe Marzy section).
In the second half of 2007, Michał Kalicki was seconded for training to the London office of White & Case, where he was a member of the Structured Finance team, part of the Banking & Capital Markets group.
Prior to joining White & Case, Michał Kalicki was a trainee in international law firms in Warsaw and London, as well as in the Polish Ministry of Finance.
Michał Kalicki graduated from the Warsaw University School of Law and the Department of Banking and Finance (with special focus on banking analysis) at the Warsaw School of Economics. He completed a course in American law organized by Warsaw University in cooperation with the University of Florida Levin College of Law.
He is a 3rd year legal advisor trainee with the Warsaw Chamber of Legal Advisors.
He is fluent in English and speaks German.
