After graduating from the University of Economics in Prague, Michael Novák joined White & Case in July 2005 as a legal intern of White & Case's Corporate Practice Group.  Since his graduation in July 2006 from the Law Faculty of Charles University in Prague, Mr. Novák holds the position of Associate at our Prague office.  Michael is currently a member of Corporate IT, and Real Estate Practice Groups.

Corporate Law
In addition to providing general corporate legal services (such as preparation of general meetings, registration of changes in the Commercial Register, etc.), Michael Novák contributed to successful consummation of several mergers, being in charge of merger structuring, drafting documentation, and entry of the transaction in the Commercial Register.

Commercial Law Advisory Services, Acquisitions
In addition to services generally provided to business entities (such as drafting and revising commercial contracts), Michael Novák took part in a number of business transactions (transfer of business, and business interests) in respect of companies active in various industries, including retail, information and communication technologies, and provided advisory services to clients in a number of legal issues related to transactions structure, contractual relations, and corporate issues.

Real Estate
Mr. Novák has been involved in complex real estate acquisition projects and dealt with legal issues arising in the context of these transactions.  Mr. Novák performed due diligence investigations, on behalf of the buyer, the seller, and the financing banks, assisted in drafting real estate and share acquisition documentation, and was in charge of the subsequent proceedings. 

Mr. Novák provides ongoing legal advice regarding various post-acquisition matters, including corporate law issues, negotiations relating to lease agreements, construction and development issues etc. Due to his economic background and superior analytical skills, Mr. Novák is able to provide the client with legal services that take into account both legal and commercial considerations, thus creating true added value for the client.

Recently, Mr. Novák is has advised several real estate investment funds in connection with their acquisitions of a shopping centers in Prague, a logistics park in a Prague suburb, one of the biggest Czech retail store chains and transfer of a large portfolio of administrative buildings.

Information Technologies
Due to his broad technical knowledge of HW/SW and IT technology, Mr. Novák also provides clients with legal assistance in both the information technology and telecommunications sectors.
