Practice Experience
Mats Sacklén has close to 25 years of international corporate practice experience.  He advises on a wide range of corporate transactions, including mergers, acquisitions, divestitures, joint ventures and debt and equity investments, often involving multiple jurisdictions.

Mr. Sacklén also has significant experience in the privatization area, having acted for investors in acquisitions of or joint ventures with state-owned enterprises in Central and Eastern Europe, China and other emerging markets for a number of years.

His recent representations include acting for clients in the consumer goods, energy, engineering, financial services, industrial goods, IT, pharmaceutical, hospitality and telecommunications sectors in transactions ranging from investments in start-up companies to complex, cross-border acquisitions, divestitures or joint ventures involving multiple jurisdictions.  He has also acted on the sell-side as well as on the buy-side in a number of transactions, often in the context of a controlled auction, involving private equity funds.

Examples of recent representations include:
  • Acting for Weather Investments S.p.A., a privately held telecommunications investment company, in connection with its €436 million capital increase by way of debt for equity swaps and cash subscriptions;
  • Acting for Weather in connection with the €1.1 billion sale of a minority stake in the company to a consortium of private equity funds including Apax, Madison Dearborn and TA;
  • Acting for Alfa Laval, a leading multinational industrial group, in connection with several acquisitions around the world, including in Italy, Poland and Mexico;
  • Acting for ABB, the global technology group, in connection with the US$950 million sale of its downstream oil and gas business, Lummus Global, to Chicago Bridge & Iron Co.;
  • Acting for Swedish steel manufacturer SSAB Svenskt Stål AB in its US$7.7 billion acquisition of Ipsco, Inc, a competing steel manufacturer; and
  • Acting for Weather Investments S.p.A., a privately held telecommunications investment company controlled by the Sawiris family and Naguib Sawiris, in its acquisition of Greek mobile operator TIM Hellas in a deal worth €3.4 billion from Apax Partners and Texas Pacific Group.

  • Acting for a multinational oil company in connection with a proposed divestiture of downstream assets in Europe;
  • Acting for a special situations group of a leading investment bank in connection with an investment in Africa;
  • Acting for a leading multinational pharmaceutical group in connection with its bids to acquire several product portfolios and businesses in Europe;
  • Acting for an international telecommunications group in connection with its bid for, and potential acquisition of, Millicom International Cellular S.A., the emerging markets mobile telephone group;
  • Acting for a Finnish media group in the sale of its broadcasting division and in connection with a hostile takeover offer from a competing media group;
  • Acting for a Scandinavian-based airline in connection with the sale of a significant minority stake in its worldwide hotel business;
  • Acting for a leading multinational pharmaceutical company in the acquisition of a generics pharmaceutical business in the Nordic region;
  • Acting for a Swiss-based global power and automation group in numerous multi-jurisdictional divestitures undertaken pursuant to an extensive divestiture program to shed non-core businesses;
  • Acting as international counsel for a leading European private equity house in the sale of one its multinational portfolio companies;
  • Acting for a multinational consumer health company in the acquisition of a nutrition business in the Nordic region;
  • Acting for a multinational technology group in the acquisition of a US-based software developer and supplier;
  • Acting for a French multinational group in the acquisition of a manufacturer of hydro power equipment;
  • Acting for a leading European private equity house in several acquisitions in the United States;
  • Acting for a Swedish multinational group in several industrial acquisitions in Europe;
  • Acting for the shareholders of a Swedish provider of on-line brokerage services in connection with an exchange offer from a leading multinational provider of such services; and
  • Acting for a Swedish multinational consumer goods group in the sale of one of its divisions worldwide.
