Practice Experience
Michael Shenberg is a partner in the Firm's Mergers and Acquisitions Practice Group in the New York office. A recognized leader in his field, he focuses on energy M&A, capital markets and financing transactions for the Firm.
Mr. Shenberg has represented financial and strategic investors in numerous transactions involving the purchase or sale of energy assets, including large portfolios, single-asset deals and joint ventures. Additionally, he advises on financings including restructurings, and corporate and commercial matters for energy company clients.
Recent examples of his M&A experience include representing:
- Kelson Energy Inc. in its sale of a 968 megawatt (MW) natural gas-fired power plant to the Tennessee Valley Authority (TVA).
- Russell City Energy Company, LLC, a project company 75 percent owned by Calpine Corporation and 25 percent owned by an affiliate of GE Energy Financial Services, in connection with the US$844.5 million construction financing of a natural gas-fired, combined cycle power generation facility.
- Calpine Corporation in its US$1.65 billion purchase of 4,490MW of power generation assets from Pepco Holdings, Inc. (PHI).
- Calpine Corporation in the US$739 million sale of two natural-gas-fired power plants near Denver to Minneapolis utility Xcel Energy Inc.
- Kelson Holdings LLC in the US$850 sale of its subsidiary, Redbud Energy LP to Oklahoma Gas & Electric Company.
- Kelson Limited Partnership in the sale of its Cottonwood Generation Facility, a 1,279MW gas-fired combined-cycle power plant located in and around Newton County, Texas, to NRG South Central Generating, LLC.
- Reliant Energy in the sale of the 830MW Channelview Cogeneration Project to Global Infrastructure Partners.
- Kelson Canada Inc. in the sale of its Island Generation Facility, a 275MW gas-fired combined cycle power plant located in Campbell River, British Columbia, to Capital Power, L.P.
- Kelson Canada in the sale of its lessor interest in the King City Project to GECC.
- Kelson Canada in its sale of the 300 MW combined cycle (cogeneration) Calgary Energy Center Project to a subsidiary of ENMAX Energy Corporation.
