Practice Experience
Nikoleta Alivojvodič is an associate of the Prague office, who primarily specializes in M&A, real estate transactions, collective investments and general corporate law.

Acquisitions

Ms. Alivojvodič has been involved in various acquisitions implemented in the Czech Republic and dealt with numerous legal issues arising in the context of these transactions and also their financing. Her responsibilities in these acquisitions included, in particular, drafting and negotiation of the contractual documentation pertaining to the acquisition, due diligence investigations for the buyers (focusing mainly on corporate, employment, real estate and financing issues), as well as, post-closing corporate and other matters, including the subsequent registration proceedings and corporate restructurings.

Transactions include representation of:
  • UniCredit Bank Czech Republic a.s. in the area of secured real- estate financing Ms. Alivojvodič has advised UniCredit Bank in the largest secured real estate financing in the Czech market that started and closed since the onset of the current global financial crisis.

Ms. Alivojvodič also has experience with advising clients on the organization and establishment of investment funds, including preparation of the fund documentation. 
  • Česká spořitelna, a.s., a leading Czech bank owned by the Erste Group, in the structuring of real estate investment funds, for the purpose of investment in the area of Central and Eastern Europe.

In the area of corporate law, Ms. Alivojvodič has advised on various corporate issues relating to restructurings and various other corporate changes, including their registration in the Commercial Register. She also assisted clients with setting up their business presence in the Czech Republic: 
  • the Bank of Tokyo-Mitsubishi (Holland) N.V., relating to the establishing of a branch within the territory of the Czech Republic, according to the single license principle.

Ms. Alivojvodič has further provided ongoing advice to clients on various corporate, labor and commercial issues arising in the course of the operation of their business and assisted with the termination of the operation of a business and the subsequent liquidation.

In the area of industrial property, Ms. Alivojvodič focuses on trademark law and has been providing ongoing services to NHL Enterprises B.V., owner of the NHL trademarks.

Ms. Alivojvodič has also gained experience in the area of public procurements assisting Autostrade S.p.A., a leading European operator of e-tolling systems, in its bid for the supply of e-toll systems for the Czech highway infrastructure.
