Natalia is an associate in our banking and finance group. She has acted on a wide range of financing transactions, including project finance, real estate and development finance and general syndicated secured and unsecured finance involving Russian and international companies, as well as multilaterals, with a focus on representing interests of commercial banks in lending to Russian corporates.

Natalia also advises on a number of legal issues relating to banking, currency regulation, securities issuance, security enforcement and corporate law.

Representative transactions include:

• Advising Bank of Cyprus in connection with a loan facility provided to a Russian real estate developer;
• Advising EBRD on a loan to Kstovo Industrial Park 1 to help finance a project relating to the development, construction and operation of a class A industrial park on a green-field site located in Kstovo in the Nizhniy Novogorod region, Russia;
• Advising EBRD and DEG on a proposed senior secured A/B loan to UgraGas Processing, owned by Monolit, to help finance engineering, construction and operation of a gas processing plant at Zapadno-Salymskoe and a 44MW gas piston power plant at the Nizhne-Shapshinskoe oil & gas oil producing fields in the Khanty-Mansiysk region of the Russian Federation on a project finance basis;
• Advising IFC and Black Sea Trade Development Bank in JV on financing of Kulon-Yugros, to be used to construct and operate a Class A warehouse complex in the Stavropol region of Russia;
• Advising VTB Capital plc on two property-backed financings to real estate companies in the Russian Federation, in particular, advising on legal aspects in connection with a warehouse development project;
• Advising Bank of Cyprus on a number of investments in the Russian real estate sector, including construction of trade centers in the Moscow Region;
• Advising IFC on several transactions for the financing of real estate development projects in Russia;
• Advising HSH Nordbank on several transactions for the financing of real estate development projects in Moscow and St. Petersburg;
• Advising Bank of Cyprus on the US$576 million acquisition of an 80 percent stake in Uniastrum Bank, a Russian commercial bank with the 9th largest network in the country;
• Advising BNP Paribas on a due diligence of a bank in relation to potential acquisition thereof;
• Member of the due diligence team in connection with the advising Société Générale in relation to its acquisition of 30 percent of Rosbank; and
• Worked on legal analysis of mezzanine financing, description of typical structures and related Russian law issues.
