Practice Experience
Omar joined White & Case's affiliated Riyadh Office after practicing as a legal counsel for SETE Technical Services, a contracting arm of the Latsis Group in the Middle East and Africa, operating from Jeddah, Saudi Arabia  (2001-2005).

Omar's transactional experience includes:

Capital Markets:
  • Representation of Rabigh Refining & Petrochemical Company (Petro Rabigh) in connection with the conversion of its legal status from a limited liability company to a joint stock company and the offering of 25% of its shares to the public through an IPO;
  • Representation of Dar Al-Arkan Real Estate Company in connection with the offering of 59,454,000 shares representing 11% of its share capital sold to the public by the founding shareholders through an IPO;
  • Representation of Saudi Indian Cooperative Insurance Co. in connection with the offering of 40% of its shares to the public through an IPO;
  • Assisting in the representation of Kingdom Holding Co. as corporate counsel in connection with its recent SR 3.04 billion IPO and its related corporate restructuring;
  • Representation of a leading UK based international insurance firm in connection with establishing and licensing an insurance company in the Kingdom and offering of a percentage of its shares to the public through an IPO;

Corporate:
  • Representation of Dar Al-Arkan Real Estate Development Company and Kingdom Installment Company in connection with the establishment of a SAR 2 billion capital house financing company in the Kingdom of Saudi Arabia in conjunction with Arab National Bank and International Finance Corporation; and
  • Representation of the founding shareholders of a leading pharmaceuticals services company in the Kingdom of Saudi Arabia in increasing their capital from SAR 574,200,000 to SAR 1,000,000,000 by way of issuance of new shares and the sale thereof to a GCC investor.
  • Representation of the founding shareholders of a leading educational services company in the Kingdom of Saudi Arabia with a capital of SAR 400,000,000 in the sale of 50% of their respective shares to a GCC investor.
  • Representation of a GCC investor in its acquisition of 100% of the respective shares of the funding shareholders of a glass manufacturing company in the Kingdom of Saudi Arabia.
  • Representation of a consortium consisting of SETE Energy Saudia for Industrial Projects Ltd, Haji Abdullah Alireza & Company Ltd, Aquatech International Cooperation and WTD s.r.l in connection with a build, own, operate and transfer “BOOT” project for a water desalination plant at the King Abdulaziz International Airport in Jeddah for the Presidency of the Aviation Authority;
  • Advising an international client on ship repair and sale project with the Coast Guard of the Ministry of Defense in the Kingdom of Saudi Arabia which included drafting, preparing and negotiating ship sale agreements and ship repair agreements;
  • Advising local and international clients on a build, own, operate and transfer “BOOT” project for a water desalination plant with Saudi Aramco in its Rabigh refinery and establishing joint venture vehicles in Saudi Arabia under the Saudi foreign investment laws and regulations, including negotiating a water purchase agreement, drafting, preparing and negotiating equity and contractual joint venture agreements, equipment supply agreements, EPC contracts and O&M contracts;
  • Advising local and international clients on a joint venture for the execution of an EPC project of a wastewater treatment plant with Khafji Joint Operations including preparing, negotiating and drafting joint venture agreements, EPC contracts and equipment supply contracts;
  • Advising International client on a management buyout transaction of a joint venture construction company in the Kingdom of Saudi Arabia, including preparing, drafting and negotiating a share sale and purchase agreement and all documentation statutorily required to affect the transaction;
  • Advising international client on a voluntary liquidation of joint venture company with a local partner in the kingdom of Saudi Arabia; and
  • Advising local client in relation to Saudi labor law issues and general corporate matters.
