Practice Experience
Mr. Alvarez focuses on corporate and corporate finance matters related to Latin America and the Caribbean. He regularly represents private and public companies in merger and acquisition transactions including the structuring, negotiating and documenting of such transactions. He has also participated extensively in the formation and restructuring of significant joint ventures in the region in the financial, telecommunications, power, mining and other sectors and in many significant privatization transactions including the US$2.8 billion restructuring and capitalization of Empresa de Energía de Bogotá and the privatization of the Instituto de Recursos Hidráulicos, the Panamanian state power monopoly.
From 1991 to 1996, Mr. Alvarez resided in Mexico City, where he established the firm's office and assisted in the development and coordination of the firm's practice there.
Mr. Alvarez is recognized as a leading lawyer in Latin American Investment in the 2007, 2008 and 2009 editions of the Chambers USA Legal Guide.
His client experience and transactions include:
- Representation of Empresa Generadora de Electricidad Haina S.A., the largest power producer in the Dominican Republic, in negotiating an agreement with Cobra Gestión de Infraestructura, S.L.U. for the engineering, procurement and construction of a 25.2 MW wind power project to be located in Juancho Los Cocos, Dominican Republic. The project is scheduled to be completed in June 2011. Once completed, it will be the first wind energy generating facility in the Dominican Republic;
- Representation of Mexico-based Palace Resorts in a 20-year license (franchise) agreement and casino management agreement with Hard Rock International. Under the agreement, the 1,790 room Moon Palace Casino, Golf & Spa Resort in Punta Cana, the largest casino in the Dominican Republic, will operate as a Hard Rock Hotel & Casino property and be renamed Hard Rock Hotel & Casino Punta Cana;
- Representation of Grand Bay St. Lucia Limited, an affiliate of Kruger, Inc. (a leading manufacturer of recycled newsprint and other paper products and the largest, privately owned forest products company in Canada), in the purchase of 100% of the shares of Unicell Paper Mills Caribbean Limited (Unicell) from Finvest Corporation Limited, a Jersey, Channel Islands company wholly owned by the Sharma Group (a family owned group of companies in the paper manufacturing industry);
- Representation of Alterra Partners, and its 50/50 owners Bechtel Enterprises and Singapore Changi Airport, in the sale of their majority-owner and other sponsor interests in Curaçao Airport Partners N.V. (CAP) to a consortium composed of Camargo Corrêa Investimentos em Infra-Estrutura S.A., Gestión e Ingeniería IDC S.A. and Unique (Flüghafen Zurich AG). CAP held a 30-year concession from the Government of the Netherlands Antilles and the Island Territory of Curaçao for the development and operation of the Hato International Airport in Curaçao, Netherlands Antilles;
- Representation of Taplin, Canida & Habacht, Inc., a Miami-based institutional fixed income money management firm with over US$7.5 billion in assets under management, in the sale of a majority interest to Marshall & Ilsley Corporation (NYSE: MI), a diversified financial services corporation headquartered in Milwaukee, Wisconsin, with US$63.5 billion in assets; and
- Representation of CEPM Energy Ltd. (CEPM Energy) as borrower in a US$24.2 million loan from Citigroup Financial Products Inc., the proceeds of which were used to acquire the remaining 40 percent of its subsidiary, Consorcio Energético Punta Cana-Macao S.A. (CEPM), a Dominican power company, from Endesa Internacional SA. Concurrently with the foregoing, we represented CEPM in the issuance of an International Finance Corporation guarantee to ABN Amro Bank N.V. (Copenhagen branch) in connection with a US$12.5 million loan which will be used by CEPM to finance the construction of the Cabo Engaño Wind Park in the Dominican Republic.
