Philip Broke is a Partner in White & Case's M&A/Corporate Group in the Firm's London office. He concentrates on mergers and acquisitions and equity capital markets and he has extensive experience in public mergers and acquisitions. Clients that Philip has recently represented include Alaqaria; Bank of America Merrill Lynch; Deutsche Bank; GSO; Jefferies; J.P. Morgan; Pfizer; Qatalyst Partners; RBS; Talvivaara; TNK-BP; UBS; and Verny Capital. Examples of M&A transactions include advising:
- Deutsche Bank in connection with Colfax Corporation's £2.5 billion recommended offer for Charter International plc;
- Qatalyst Partners on the £7.1 billion offer by Hewlett-Packard for Autonomy Corp. The Firm acted for Qatalyst Partners in its capacity as lead financial adviser and sole Rule 3 adviser to Autonomy on the deal;
- Kaupthing on its restructuring;
- Deutsche Bank in connection with a funds facility made available to KSE, UK, Inc. to support its recommended mandatory cash offer for Arsenal Holdings plc, the parent company of Arsenal Football Club;
- the sellers to Glencore of a US$6 billion minority stake in Kazzinc, a major fully integrated zinc producer based in Kazakhstan;
- GSO’s acquisition of a majority stake in Miller Group;
- Qatar Real Estate Investment Company (Alaqaria) in connection with its US$3 billion merger with Barwa Real Estate Company;
- Qatar Investment Authority in connection with the investment by its principal holding company of more than US$6 billion in ordinary shares, mandatory convertible securities and perpetual tier 1 capital notes of the Credit Suisse Group AG;
- TNK-BP's purchase of the Venezuelan and Vietnamese assets of BP for US$1.8 billion;
- Pfizer's sale of Capsugel for US$2.38 billion;
- GSO's investment in and the restructuring of Almatis; and
- Kohlberg Kravis Roberts & Co on its US$1.3 billion acquisition of U.N. Ro-Ro Isletmeleri AS, a Turkish freight company.
Examples of ECM transactions include advising:
- Merrill Lynch, ING and Mirabaud Securities as joint bookrunners, on the initial public offering of ordinary shares of Exillon Energy plc a company with Russian oil and gas operations, on the main market of the London Stock Exchange plc;
- Talvivaara Mining Company plc on the placing of approximately 10 per cent of the number of the existing shares of the Company to both new and existing institutional shareholders through an accelerated bookbuilding and on its IPO on the main market of the London Stock Exchange;
- Jefferies International Limited in their role as financial advisors to CBaysystems Holdings Ltd ("CBAY") on its purchase of an approximately 69.5 percent interest in the Medquist Inc, for US$287 million and on CBAY's subsequent re-admission (as enlarged by the acquisition) to the AIM Market of the London Stock Exchange;
- J.P. Morgan Cazenove Limited, UBS Limited and Merrill Lynch International as underwriters, sponsors and financial advisers and UBS Limited, J.P. Morgan Securities Ltd. and Merrill Lynch International as joint bookrunners in connection with the secondary issue by SEGRO plc, a FTSE 100 company, in connection with the proposed acquisition of Brixton plc raising approximately £250m; and
- Starcomms Plc and the shareholders of Starcomms Plc (including private equity firms ECP and Actis) in connection with the US$550 million private placement and subsequent listing on the Nigerian Stock Exchange of Starcomms' ordinary shares. Starcomms Plc is the first telecommunications provider to be listed on the NSE.
