Practice Experience
Mr. Čížek is a Czech advocate who primarily focuses on construction and energy law and M&A transactions.
At White & Case, Mr. Čížek has participated in several energy and infrastructure projects concerning, for example, construction of power plants (CCGT and nuclear), a steel mill, a gas pipeline, or projects concerning supply of various equipment or plant units. He has been involved at a legal feasibility stage of such projects, during drafting and negotiating of the contracts underlying these projects (mainly EPC and EPCM contracts, with a focus on FIDIC or CRINE based contracts). Also, Mr. Čížek has an extensive knowledge of public procurement aspects of the projects and has experience with preparation of tendering documentation.
In the area of energy law, Mr. Čížek participated in a number of significant projects handled by the Prague office, among other also:
- Advising NET4GAS, s.r.o. (a subsidiary of RWE Transgas) acting as TSO in the Czech Republic in connection with the construction of a new 160 km long gas pipeline (Gazelle) in the Czech Republic, which represents a continuation of Nord Stream and Opal transmission lines;
- Provision of legal advisory services to RWE Power AG and Swiss Alpiq Group in connection with the development of a 1000 MW combined cycle power plant located in the Czech Republic.
- Advising PSG–International a.s., a Czech based corporation focusing on the construction and development of energy projects, in respect of the revision of the EPC contracts to be concluded with an energy company operating in North Russia for the purpose of the construction of a gas fired power plant in Russia.
- Provision of legal advisory services to ALTA, a.s. in connection with the construction of a 600,000 t/y methanol plant and associated works in Nizhny Tagil (Russian Federation). ALTA, a.s. acts as a contractor for the plant's construction. The employer is a Russian company URAL METHANOL GROUP CJSC;
- Representing one of biggest German banks and one of the leading European banks, Commerzbank AG, in connection with the contemplated financing provided to Saša- SUN and Zdenek-Sun, two special purpose vehicles, for the purpose of financing the construction of two photovoltaic power plants. The aggregated output of the photovoltaic power plant project located in Chomutov in the Czech Republic is 15 MW;
- ALTA, a.s. in connection with the construction of a 600,000 t/y methanol plant and associated works in Nizhny Tagil (Russian Federation);
- Representing RWE Transgas, a. s., a major Czech gas producer, with respect to various energy regulatory and competition issues, including the restructuring of its Czech operations known as the "unbundling" in order to comply with changes in the new Energy Act and the EU Gas Directive;
- Advising ČEZ, a major Czech energy company, in connection with the use of EFET agreements (for energy trading) in the Czech Republic, including application of bankruptcy, netting and financial derivatives;
- Representing HSBC Bank plc in connection with the provision of a bank guarantee facility for the purposes of the issuance of bank guarantees in connection with the completion of the nuclear power plant in Mochovce, Slovakia by ŠKODA JS a.s., a Czech nuclear power plant EPC contractor. Our assignment further included extensive review and negotiations of the Engineering, Procurement and Construction Contract for the delivery of nuclear islands for the two new units of the Mochovce nuclear power plant;
Other projects
- Advising Magistrát hlavního města Prahy, the Municipality of Prague, in connection with what is the biggest single public construction contract and the biggest single infrastructure project in the Czech Republic - the construction of the longest vehicular tunnel in the Czech Republic and the longest city tunnel in Europe.
- Providing RWE Interni sluzby s.r.o., a Czech subsidiary of our existing client RWE Transgas, a.s., an energy company, with legal advisory services in connection with the review of the IT outsourcing agreement to be concluded by and between the company and HEWLETT-PACKARD s.r.o.
- Assisting NET4GAS in connection with the preparation of tender documentation, including the outsourcing contract for the purpose of the selection of a supplier of all IT services to NET4GAS in connection with the planned transformation into an independent transmission operator (ITO).
With regard to general corporate and commercial legal matters, Mr. Čížek has advised on various corporate issues relating to restructurings (mergers and capital changes) and various other corporate changes, including their registration in the Commercial Register and other registers. He assisted clients with setting up their business presence in the Czech Republic and has further provided ongoing advice to clients on various corporate, labor and commercial issues arising in the course of the operation of their business, including the drafting of necessary contracts. Mr. Čížek also has a broad knowledge of corporate governance matters.
