Overview

Karsten Wöckener represents banks and non-banks, including financial technology (fintech) companies and legal technology companies in connection with issuing and trading platforms of structured products and derivatives (blockchain solutions). He also advises a German fintech company which provides financial institutions and financial service providers with technology which enables such market participants to fulfill financial regulatory requirements.

Furthermore, Karsten Wöckener is an active adviser in the establishment of the Frankfurt Main Finance Dialogue Forum Fintech Frankfurt Rhein-Main and through this role is very close to new developments in the fintech industry.

Moreover, Karsten advises issuers and investment banks on capital markets matters.

He focuses on the issue, underwriting and placement of all types of investment grade and high-yield bonds, promissory notes (Schuldscheine), covered or secured, convertible (equity linked) and hybrid instruments (including AT1 and Tier 2 instruments), and structured, as well as securitisation products.

Drawing on his knowledge of the sector, Karsten has helped numerous clients with structuring, placing and/or listing of these products. This work includes supporting them with their post-admission obligations, and ensuring they are compliant with all of the relevant regulations.

Karsten also advises issuers and banks on establishing or updating their Debt Issuance Programmes/EMTN Programmes, CP Programmes, Structured Note Programmes and secured asset platforms.

He delivers perceptive and valuable advice on liability management (tender offers), issuer's substitutions and the restructuring of outstanding bonds on the basis of the German Bond Act (SchVG).

Covestro - Issuance programme | EUR 5,000,000,000

Represented a consortium of banks led by Bank of America Merrill Lynch, Citigroup, Deutsche Bank, JP Morgan, Société Générale and UniCredit with respect to the establishment of the debt issuance program by Covestro and with respect to a EUR 1.5 billion debut bond issue of Covestro AG.

Degussa Bank – AT1 Contingent Convertible Bond) | EUR 60 million

Advising Degussa Bank AG with respect to an AT1 bond issue (Contingent Convertible Bond) in the amount of EUR 60 million.

Infineon Technologies AG | EUR 800 million

Represented a consortium of banks led by Bank of America Merrill Lynch and Citigroup with respect to the debut bond issue of Infineon Technologies AG in the amount of EUR 800 million.

LBBW – Tier 2 bond issue I EUR 500 million

Advising a consortium of banks led by Citigroup, Crédit Agricole, ING, JP Morgan and LBBW with respect to the issue of EUR 500 million Tier 2 subordinated notes by LBBW.

Otto Bock

Represented Deutsche Bank as arranger on the placement of a debut Schuldschein of Otto Bock Holding GmbH & Co. KG.

VERBUND – Debut Green Bond issue I EUR 500 million

Represented Austrian energy company VERBUND AG with respect to the first green bond of an Austrian company in the amount of EUR 500 million.

WGZ – Tier 2 convertible bond I EUR 128 million

Represented WGZ Bank AG Westdeutsche Genossenschafts-Zentralbank in relation to a tier 2 convertible bond issue in the amount of EUR 128 million.
