Overview

Luděk Chvosta, Jr. is an associate of the Prague office and a member of the Capital Markets and Banking & Financial Restructuring practice groups. He specializes in securities with a special emphasis on DCM, banking and project finance, insolvencies and restructurings as well as related commercial litigation.

In the area of capital markets, Mr. Chvosta has advised on a wide range of securities issues in the Czech Republic conducted by both foreign and domestic issuers. His experience ranges from IPOs to secured and unsecured domestic bonds and Eurobonds issues and also includes German NSV securities offerings by Czech issuers, including the historically first NSV ever issued by a Czech issuer.

Mr. Chvosta has also been the primary liaison to the Czech National Bank on a number of capital markets mandates including securities prospectus passporting proceedings, approvals and submissions of qualified queries concerning issues ranging from investment funds regulation to the legal qualification of complex multi-jurisdictional winding-down composition proceedings of a major foreign bank.

Mr. Chvosta's banking work with syndicated loans and drafting various financing documentation led to his participation in some of the best-known major bankruptcy and restructuring cases in the Czech Republic, gaining experience in both the pre-insolvency and insolvency stages of proceedings of debtors such as Oděvní podnik, a.s., PALCOR CZECH s.r.o., ECM REAL ESTATE INVESTMENTS A.G., DEVEPLAN a.s. and MOTORPAL, a.s..

Mr. Chvosta was also involved in corporate and commercial law matters, helping incorporate companies both within and outside the Czech Republic and providing long-term corporate advice to a leading pharmaceutical manufacturer. Mr. Chvosta participated in various M&A transactions both buyer-side and seller-side and worked on due diligence investigations in diverse fields of business ranging from industrial-grade paint producers to biochemical research and real estate developments.

At White & Case, Luděk has received hands-on training from our German energy practice and subsequently advised clients on energy trading contracts within the European Federation of Energy Trades (EFET) framework. He has also advised a major Czech bank on its membership and clearing duties vis-à-vis a European commodities exchange.

Mr. Chvosta is a former President of the Common Law Society in Prague and has served as a presiding panel judge in the Jessup International Moot Court.

Experience

České dráhy, a.s., the Czech national railway operator, in relation to the private placement of two tranches of German law governed IHS bonds in a total value of EUR 115.2 million.

A major foreign bank in a complex regulatory mandate concerning the legal qualification of winding-down composition proceedings and its interpretation by the Czech regulator.

The arrangers in a successful EUR 100 million refinancing process for Pegas Nonwovens, a leading nano-textile producer, by means of three concurrent issues of long term bonds.

Acted as transaction counsel in a CZK 2.5bn unsecured domestic 2.85 per cent fixed-rate bonds issue by Pegas Nonwovens in the Czech Republic governed by Czech law and listed on the Prague Stock Exchange.

UniCredit Bank Czech Republic and Slovakia, a.s. as administrator and lead manager of a CZK 550,000,000 fixed-rate non-secured retail bonds issue due 2018 by PASSERINVEST GROUP, a.s..

Acted as transaction counsel for a EUR 30,000,000 stand-alone bearer bond issue governed by German law (IHS) due 2024 and a EUR 150,000,000 Namensschuldverschreibung (NSV) issued under German law and due 2029 by České dráhy, a.s.

The leading Czech energy producer CEZ, a. s., with updating their 10-year CZK 30bn bond program. White & Case originally represented CEZ in the establishment of the program and with respect to a previous update of the same.

J.P. Morgan Securities plc, Citigroup Global Markets Limited, Société Générale, the Royal Bank of Scotland and UniCredit Bank AG as Joint Bookrunners for a €500m issuance of senior notes by CE Energy, a.s.

JP Morgan and Goldman Sachs as joint lead managers in relation to Czech Export Bank's issue of EUR 250 million floating rate notes due 2021 under its EUR 4bn EMTN Programme, guaranteed by statute by the Czech Republic.

Raiffeisenbank a.s. as issuer in connection with the update of its EUR 5 billion Covered Bonds Programme and the issue of EUR 500 million fixed rate covered bonds due 2019 under the programme. The issue has been listed on the Luxembourg Stock Exchange.
