Biography

Overview

Marianna Galusová is a local partner of the Prague office and a member of the Real Estate and M&A Practice Groups. Since joining White & Case, Marianna has been focusing on real estate and collective investment law. She regularly advises investors, developers, financial institutions and state entities during various stages of transactions, including real estate and corporate due diligence, joint ventures and acquisitions.

She also provides ongoing corporate advice to a number of major international and Czech clients, particularly in the real estate and manufacturing sectors.

Experience

Sale of P3 to GIC
Marianna advised P3 Logistic Parks (P3) and leading global investment company TPG Real Estate (the previous owner of the P3 developer alongside Ivanhoé Cambridge) on the sale of P3 to GIC, a sovereign wealth fund established by the government of Singapore. With a transaction value of EUR 2.4 billion, this represents the largest deal on the European real estate market in 2016, and the largest real estate deal ever in the Czech Republic.

EUR 1.9 billion financing of the CTP Group - the largest real estate financing in the CEE region
Marianna represented Erste Group Bank AG, Česká spořitelna, a.s., UniCredit S.p.A., UniCredit Bank Czech Republic and Slovakia, a.s., Société Générale S.A. and Komerční banka, a.s., as mandated lead arrangers, in connection with legal due diligence carried out for the purposes of refinancing the existing financial indebtedness of property companies within CTP Group, one of the largest industrial developers in the CEE region. At the amount of EUR 1.9 billion, this is one of the largest real estate financings in the CEE region.

The first direct real estate investment in the Czech Republic by a South Korea-based investor
Marianna represented Shinhan Investment Corporation, a Korean based investment manager, advised by Mint Investments, one of the leading real estate investors in Czech Republic and Slovakia, in connection with the acquisition of Florenc Office Center, an A class office building in Prague and the headquarters of KPMG in the Czech Republic, from ZFP Investments, a Czech real estate fund. The transaction is the first direct real estate investment in the Czech Republic by a Korean investor.

CTP – sale of a Czech logistics portfolio to Deka Immobilien
Marianna advised CTP, a leading commercial real estate developer and manager of business parks in Central & Eastern Europe, on the EUR 450 million sale of a Czech logistics portfolio to Deka Immobilien. This represents one of the largest-ever real estate transactions in the Czech Republic, and the largest logistics deal in Europe in 2018.

€523 million purchase of a Czech logistics portfolio
Marianna represented TPG Capital and Ivanhoe Cambridge portfolio company PointPark Properties (P3), owner, developer and manager of European logistics properties, in the €523 million purchase of a Czech logistics portfolio from two funds advised by Tristan Capital Partners and VGP. The acquisition is one of the largest single logistics transactions by value in Europe of the past ten years and the largest ever in the Czech Republic.
