Overview

Paweł Góra is a lawyer and economist who focuses his practice on providing comprehensive tax advice to Poland-based and global companies in the energy, telecommunications, chemistry, real estate and finance sectors.

He advises on international tax structuring projects, tax due-diligence, tax modelling related to merger and acquisition transactions, and tax litigation before tax authorities and administrative courts. His work encompasses, among others, preparation of legal opinions, tax litigation documentation, applications for tax rulings and tax due-diligence reports.

In addition, Paweł participates in the preparation of due diligence reviews and relevant transaction documentation for M&A and capital market transactions.

Prior to joining White & Case, Paweł gained experience serving internships in international companies and organizations, including a leading German logistics company in Mainz.

Experience

Aquiline Capital Partners Limited: representation of Aquiline Capital Partners Limited, a private investment firm based in New York and London specializing in investments in financial services and technology, in connection with the acquisition of the Virtus Lab Group, a software development company.

Synthos S.A.: representation of Synthos S.A., a chemical concern and a key player in the global synthetic rubber market, in connection with the acquisition of synthetic rubber operations based in Schkopau, Germany, from Trinseo, a global manufacturer of plastics and synthetic rubber, for nearly US$450 million. The transaction concerns the acquisition of the operating business in Schkopau, including both manufacturing and research and development facilities related to the business of synthetic rubber. As a result of the transaction, the Synthos group will become one of the three largest players in the synthetic rubber industry in the world.

MidEuropa: representation of MidEuropa, a leading private equity investor in Central and Eastern Europe, in connection with the sale of its stake in Waberer's International Nyrt., the largest road transport company in Hungary and listed on the Budapest Stock Exchange, to Indotek Group, a Hungarian asset manager.

Waberer's International Nyrt.: representation of Waberer's International Nyrt. (owned by MidEuropa), the European leader in full truckload – FTL- transportation, in connection with the acquisition of the Polish based companies Link sp. z o.o. and Link Services sp. z o.o., a leading supplier of modern solution in the transport sector.

R.Power: representation of R.Power, the largest photovoltaics player on the market, on the largest transaction in the Polish photovoltaic sector to date – the sale of its entire portfolio of 122 MW turnkey terrestrial photovoltaic farms to the fund Aberdeen Standard Investments, a leading global asset manager. The portfolio consists of 130 state-of-the-art photovoltaic projects developed by R.Power with a total installed capacity of 122 MW, predominantly in western and central Poland. The deal represents the third agreement between R.Power and Aberdeen Standard Investments in the Polish market, and is the third transaction on which White & Case has advised R.Power.

R.Power: representation of R.Power in connection with obtaining PLN 90 million financing of PV portfolio in Poland. The investment includes the construction of 34 solar power plants with a capacity of 33 MW.

R.Power: representation of R.Power in connection with the sale of special purpose vehicles which own a 45.5MW portfolio of photovoltaic solar farms in Poland to Aberdeen Standard Investments, a leading global asset manager. The portfolio developed by R.Power consists of 47 state-of-the-art individual projects with a total installed capacity of 45.5MW.

United Internet AG: representation of the United Internet AG and its subsidiary, 1&1 Internet SE, in connection with the acquisition for around €155 million of home.pl S.A. from its current owners, led by private equity fund V4C Eastern Europe.

Jastrzębska Spółka Węglowa S.A.: representation of Poland-based listed company engaged in producing and selling coking coal to domestic coking plants, on the PLN 1.49 billion acquisition of an organized part of the business of Kompania Węglowa S.A., the Poland-based state owned company engaged in drilling, mining, and selling coal and carbon products.

FTF Columbus: representation of FTF Columbus, an investment vehicle of Mr. Michał Sołowow, one of the richest businessmen in Poland, in the sale of 41.55 percent of shares of Echo Investment S.A., the Warsaw-listed investment and developing company, to Griffin Real Estate, the Poland-based company engaged in the acquisition and development of real estate properties.
