Tom's reputation is based on longstanding experience of guiding clients through intricately structured domestic and cross-border transactions. He focuses on acquisition financing and the restructuring of complex financings and advises in particular banks and investors at all levels of the capital structure.

At ease with the complexities of large-scale, multijurisdictional deals and is praised by clients for his profound knowledge and his comprehensive advice of syndicates of banks and steering committees in critical situations.

He has successfully developed and executed deals worth billions of euros. Among his landmark deals, he jointly led the international team of 22 lawyers that advised on the refinancing of the debt provided to the LIXIL Corporation and the Development Bank of Japan Inc. for their acquisition of an 87.5 percent share capital in the GROHE Group. This acquisition, with an implied enterprise value of more than €3 billion, was the largest-ever German investment by a Japanese company. Furthermore he advised the Steering Committee on the financial restructuring of the ENERVIE Group. This was the first major restructuring of a municipal utility company. All banks agreed on a financial commitment until 2019 and the shareholders provided ENERVIE Group with a EUR 60 million subordinated shareholder loan. More than 40 financial institutions are creditors of ENERVIE.

Oaktree Capital Group, 2014

Tom advised the private equity investor Oaktree Capital Group, LLC in the financing of the acquisition of Rail Pool Group, a leading European rolling stock leasing company.

Bank of Tokyo Mitsubishi, Mizuho and Sumitomo Bank, 2014

Tom advised the three Japanese mandated lead arrangers (Bank of Tokyo Mitsubishi, Mizuho and Sumitomo Bank) in connection with the €1.3 billion financing of the acquisition of the Grohe Group by Lixil Corporation, a strategic Japanese investor.

Commerzbank AG, 2014

He advised Commerzbank AG as Mandated Lead Arranger in connection with the refinancing of Ströer Media AG by way of a syndicated loan agreement.

Landesbank Baden-Wuerttemberg, Commerzbank AG, Bayerische Landesbank and Norddeutsche Landesbank, 2014

He advised the Steering Committee (Landesbank Baden-Wuerttemberg, Commerzbank AG, Bayerische Landesbank and Norddeutsche Landesbank) in connection with the financial restructuring of Scholz AG, a leading international metal recycling company.

Tom advised an international financial institution in relation to the restructuring and refinancing of Praktiker AG, a large German trading company.

Sberbank, 2009

Tom represented Sberbank, the largest bank in Russia and Central and Eastern Europe, on a joint acquisition, together with Canadian auto-parts manufacturer Magna International, of a 55 percent interest in Adam Opel GmbH from the US automobile producer General Motors Company.
