Practice Experience
Mr. Kuhn specializes in restructuring, securities, and M&A. Since joining White & Case in 1997, he has been involved in many significant transactions in the abovementioned areas that have been handled by the Prague and London Offices of White & Case.
As a member of the Insolvency Law Committee of the Czech Ministry of Justice, Mr. Kuhn was responsible for creating the concept and drafting the part of the insolvency law related to business restructuring. In the past, he took an active part in drafting amendments to the Czech Commercial Code, Securities Act, and Capital Markets Act.
Mr. Kuhn has participated in various domestic and international securities transactions, including the first-ever Czech IPO, which was completed by Zentiva N.V., a major Central European generic pharmaceutical company, in June 2004. As a senior associate, Mr. Kuhn has been involved in assisting Merrill Lynch International, acting as the global lead manager of this IPO. Mr. Kuhn has also advised Erste Bank in the listing of Erste Bank shares on the Prague Stock Exchange; this was the first transaction of its kind in the Czech Republic. In addition, Mr. Kuhn advised J.P.Morgan in connection with the public tender offer for Česká spořitelna shares by Erste Bank, the largest public tender offer in the CEE region to date. Mr. Kuhn also represented the Czech Consolidation Agency in connection with the secondary sale of Black Diamond CDOs. During his secondment to our London Office, Mr. Kuhn contributed to a number of other cross-border transactions. Among others, he represented Deutsche Bank as the depositary bank in the issuance of American Depositary Shares on behalf of Indian-based Infosys Technologies Limited, as well as the Republic of Poland in the issuance of the second tranche of foreign debenture bonds.
He has represented buyers and sellers in Czech company acquisitions, among others, the National Property Fund in connection with the privatization of Unipetrol; TDC in relation to its interest in České Radiokomunikace; Thyssen Krupp in the acquisition of a shareholding in a Czech company; Novus Holding Corporation in the acquisition and restructuring of Walter, a.s., a leading Czech manufacturer of piston aircraft engines; a group of Czech banks and investment funds in connection with the sale of a majority share in IPS and Metrostav, leading Czech construction companies.
In private equity fund transactions, Mr. Kuhn has provided advisory services in connection with the acquisition of a shareholding in Pietro Filipi, a leading Czech fashion manufacturer, and Candy Plus, a leading candy manufacturer in the Czech Republic and Hungary. Mr. Kuhn also assisted Erste Bank in the mezzanine financing provided to AEH Group (parent company listed in Belgium) in relation to the acquisition of a printing press network in the Czech Republic, Hungary, and Poland, and the restructuring of similar businesses in France and Germany.
At present, he also lectures institutional economics at the Macroeconomics Faculty of Economics University and commercial law at the Law Faculty of the University of Western Bohemia in Pilsen.
Prior to joining White & Case, Mr. Kuhn worked for Senator Michael Žantovský and assisted in the drafting of the Private Data Protection Act and the Freedom of Information Act.
