White & Case Ramps Up Pharma-related Activity with Huvepharma Share Sale
London,
October 19, 2010 ... Global law firm White & Case LLP has advised the shareholders in Huvepharma AD, a Bulgarian animal health company, on the agreed sale and primary issuance of shares to Citi Venture Capital International. The deal is the latest in a series of pharma-related deals done by corporate teams across the Firm.
Citi Venture Capital International, which is buying the shares, is a subsidiary of Citi Capital Advisers, the alternative asset management division of investment bank Citigroup. Upon completion of the transaction, Citi Venture Capital International will acquire a stake of approximately 38% in Huvepharma AD.
"That products can be distributed globally with a minimum of local adaptation is a major factor contributing to rapid worldwide growth in the pharma sector, a trend that is attracting private equity investors to innovative companies such as Huvepharma," said Andrew Weiler, the White & Case partner who led on the transaction.
Huvepharma AD is a fast-growing global pharmaceutical company which develops, manufactures, and markets human and animal health products. It has a significant distribution network which covers 70 countries across 6 continents, and has manufacturing facilities in both Europe and the USA. It develops and produces anticoccidials, veterinary products, including vitamins and mineral pre-mixes, feed additives, such as enzymes and sensoric additives, as well as APIs for both veterinary and human use.
White & Case's pharmaceuticals and healthcare group spans offices across the UK, Europe (including Brussels), the Americas, and Asia. Recent deals the team has worked on include: Representation of PPF Healthcare a.s. in connection with the acquisition of Euroclinicum a.s. which provides healthcare services in hospitals and policlinics, and operates pharmacy stores, from Alpha Union Invest, S.A.; acting for private equity firms Nordic Capital and Avista Capital Partners in their US$4.1 billion acquisition of the ConvaTec business unit from Bristol-Myers Squibb. ConvaTec is a world leader in the development and marketing of innovative wound therapeutics and ostomy care product; acting for WellPoint, Inc., the leading health benefits company in the US with approximately 28 million medical members, on its US$6.5 billion acquisition of WellChoice, Inc., the largest health insurer in the State of New York; and acting for Siemens AG in its €4.2 billion acquisition of Bayer's in-vitro medical devices business, acquired through a multinational transaction.
White & Case's team on the Huvepharma transaction was led by London Mergers and Acquisitions partner Andrew Weiler and assisted by partner David Eisenberg and associates Sevda Staykova and Jana Audrlicka.
