White & Case Advises on Groundbreaking £500 Million Joint Venture to Create One of the UK'S Largest Pathology Organisations

London, February 5, 2009 ... Global law firm White & Case LLP has advised Serco Group plc ("Serco"), a leading service and facilities management company, on its groundbreaking £500 million joint venture with Guy"s and St Thomas" NHS Foundation Trust ("the Trust"). The 50/50 joint venture, which is branded GSTS Pathology is the first clinical joint venture between a private company and a National Health Service Foundation Trust.

The joint venture aims to improve the Trust's existing pathology services and will also offer world class pathology services to other NHS organisations, the private sector and the wider international pathology market. The NHS pathology market alone is valued at around £2.5 billion per year, with demand for diagnostic tests growing at around 8-10 percent a year.

"This project presented our team with a number of new issues and the need to find innovative solutions which had never before been encountered in the healthcare sector," commented Anthony Fine, partner, White & Case. "We"re delighted to have supported our long standing client Serco in this pioneering transaction for the healthcare market. The joint venture brings together the best of class from Serco and Guy"s and St Thomas" NHS Foundation Trust to create a new force in the pathology sector, which we hope will be to the benefit of patients both in the UK and around the world."

Chris Screech, Sales Director for Serco Civil Government comments, "White & Case did a phenomenal job in supporting us legally and commercially through a complex and innovative transaction. Many of the issues we encountered were unique and the solutions we devised together will undoubtedly have long-term impact on the nature of future partnerships within the NHS."

The White & Case team was led by partner Anthony Fine, assisted by senior associate Kirsten Hutton and associate Danielle Lodge. The team also included partners Oliver Brettle, Nicholas Greenacre, David Cox and associates Candice Jacobs and James Johnson.
