White & Case In Mining Double
Increasing Numbers of Mining & Metals Companies Seek International Listings
London, Helsinki,
June 6, 2007 ... White & Case has acted on two separate transactions in the mining sector as global demand for natural resources is continuing to drive activity in it. The Firm advised Talvivaara Mining Company Ltd ("Talvivaara"), a Finnish mining company, on its £190 million Initial Public Offering (IPO) on the London Stock Exchange (LSE), as well as advising aluminium company Global Alumina Corporation, in connection with the issuance of a two-thirds interest in its subsidiary, Guinea Alumina Corporation, Ltd., to DUBAL, BHP Billiton and Mubadala Development for a total issuance price of $260 million. This joint venture was formed to develop and operate the Sangarédi Alumina Refinery in the Republic of Guinea.
"We are seeing increasing numbers of companies from the mining and metals sector seeking international listings around the world. London has become an increasingly important focus for foreign companies looking to access additional capital, with more money being raised from IPOs on the London Stock Exchange and its secondary market, the Alternative Investment Market, than any other exchange in the world," commented Petri Haussila, the lead White & Case partner advising Talvivaara.
The White & Case team working alongside Petri Haussila on the Talvivaara IPO included associate Mikko Hulkko in Helsinki, and partner Philip Broke, associate Daniel Moore and trainee Sally Koo in London.
Glen Ireland, lead White & Case partner advising Global Alumina Corporation added, "Activity in the mining and metals sector is showing no signs of slowing down. In addition to capital markets work, we are continuing to see significant M&A activity as the industry consolidates, as well as financings for major new projects."
Glen Ireland was assisted by associate Robert Perkins on the Global Alumina Corporation transaction.
