Practice Experience
Peter Thieman provides energy regulatory advice to domestic and global energy companies, financial and lending institutions, underwriters and investors and concentrates in project development, financing and mergers and acquisitions in the energy sector.
Mr. Thieman has significant energy regulatory expertise on a broad scope of transaction and industry-related matters, including the acquisition, divestiture and financing of power projects and natural gas facilities, the negotiation and analysis of power purchase, fuel supply and transportation and energy service agreements, and the operation of power marketers and IPPs in unbundled competitive power markets, RTOs and ISOs throughout the United States. Mr. Thieman also advises clients on open access transmission and natural gas tariff issues, interconnection rights and obligations, ISDA, NAESB and EEI master agreements, nuclear regulatory issues and the practical implications of requirements under the Federal Power Act, Energy Policy Act of 2005, Public Utility Regulatory Policies Act, Public Utility Holding Company Act and Natural Gas Act.
His experience and representative transactions include:
Representation of EBG Holdings on federal and state regulatory issues relating to its merger with Astoria Generating Co., which created a company with over 5,000 MW of generation with a value of more than $5 billion;
Representation of MACH Gen holding company and its four project companies (a 3,690 MW fleet) in the transfer of holding company debt and equity valued at over $1.2 billion and all project and holding company regulatory matters arising from corporate and operational issues;
Representation of Lehman Brothers as underwriter for the $110 million IPO of Ormat Technologies, a world leader in the geothermal and renewable energy power business;
Representation of a private equity sponsor in the establishment of an investment partnership in connection with the acquisition of peak power generating assets;
Representation of underwriters in a $450 million FPLE National Wind bond financing;
Representation of a financial institution in a multi-million dollar financing deal involving Morris Cogeneration;
Representation of ABN AMRO Bank as Administrative Agent with respect to restructuring gas transportation and storage agreements and a PPA related to a 135 MW generating facility in New York;
Representation of Société Générale in its multi-million dollar financings of ethanol facilities;
Representation of hedge funds in their acquisition of debt and equity interests in Liberty Electric, Lake Road and La Paloma electric generation project companies;
Representation of Amerada Hess in its formation of Hess LNG, a multi-million dollar joint venture to develop LNG terminal projects and related gas pipelines;
Representation of an international corporate conglomerate in its bid to acquire Westinghouse;
Representation of a financial institution in its bid to finance the acquisition of Gulf South Pipeline Company valued at more than $250 million;
Representation of leading international nuclear fuel-related companies by providing US nuclear regulatory advice;
Representation of Deutsche Bank to establish its first energy trading company with FERC market-based rate authority;
Representation of a leading financial institution in its acquisition of commodity futures books valued in excess of $300 million;
Representation of GE Capital Corporation in its more than $1.5 billion financings of California utility holding companies;
Representation of Panda Energy in its $2.2 billion financing and development of Union Power Partners and Panda Gila River, two of the largest merchant power plants in the United States (each at 2,200 MW); and
Representation of CalEnergy in its multi-million dollar divestiture of interests in its geothermal power plants and its $4 billion acquisition of MidAmerican Energy Holdings.
In addition, Mr. Thieman represents energy-related clients before the US Federal Energy Regulatory Commission and various state commissions.
