Practice Experience Rachel Hatfield is a partner in the Firm’s Banking & Capital Markets group in London. She has over 20 years of experience spanning bank finance, securities, structured finance and restructuring.
Since joining the Firm in 2000 she has helped build the structured finance, capital markets and high yield businesses and has served, in London, as co-head of Capital Markets (2002-2004), head of High Yield (2005-2008) and a member of the London office Executive Committee (2002-2004).
Rachel has extensive emerging markets experience across Asia, the CEE and the CIS. She has a particularly strong Russian and Ukrainian debt finance practice.
Examples of her recent transactions include: Representing UBS on The Bank of Moscow’s offering of CHF250 million 6.253% Loan Participation Notes due 2011; Representing Gazprombank on its offering of CHF500 million 6.53% Loan Participation Notes due 2010, the establishment of a US$10 billion Loan Participation Notes programme; its offering of US$500 million 7.933% Loan Participation Notes due 2013; and its US$600 million syndicated loan facility; Representing Credit Suisse Securities (Europe) Limited and HSBC Bank plc on Alfa Bank Ukraine’s offering of US$250 million of 12% Loan Participation Notes due 2011; Representing BNP Paribas and UBS Investment Bank on Ukrsibbank’s offering of US$250 million 9.25% Loan Participation Notes due 2011 represented by Depositary Receipts; Representing Barclays Capital and Deutsche Bank AG on M Real Corporation’s high yield offering of €580 million 7.25% Senior Notes due 2013; Representing Liberty Global, Inc. and United ACM Holdings Inc. on financing the US$2.19 billion acquisition of Cablecom Holding AG comprising (with corporate cash) €550 million of PIK loans and €300 million Senior Notes due 2014 issued by UPC Holding B.V.; Representing Deutsche Bank AG as initial purchaser of Pipe Holdings plc's high yield offering of £122 million 7.75% Senior Secured Notes due 2011 and £66 million 9.75% Senior Unsecured Notes due 2013; Representing Deutsche Bank AG and Bayerische HypoVereinsbank on Escada AG's high yield offering of €200 million Senior Notes due 2014; and Representing UBS on Sberbank’s US$1 billion Subordinated Loan due 2015 funded through the issue of Loan Participation Notes – one of the first and the largest Tier II capital bond offerings by a Russian bank. Before joining White & Case in 2000, Rachel was a partner at a leading US firm. Prior to that, Rachel spent 10 years with an English Magic Circle firm.
Rachel Hatfield is recommended in the current edition of the Legal 500, Chambers Global and Chambers UK as a key player in the capital markets sector, as a Recommended Capital Markets practitioner in PLC’s Global Counsel 3000 and as a leading lawyer in IFLR 1000.
Rachel is vice chair of The European High Yield Association and co-chairs its Legal and Regulatory Committee. She is also a member of the European Board of SIFMA.
