Practice Experience
Sam Hamilton is a partner in the Firm’s Banking & Capital Markets group in London. His focus is on leveraged finance although he has experience in a wide range of finance transactions. He acts for private equity sponsors, financial institutions and major corporations. Sam has particular experience in relation to transactions in the Nordic region, public to private financings, investment grade lending and emerging markets financings.
Representative transactions for borrowers include:
Acting for SSAB in relation to the financing of its successful US$8.6 billion public offer for IPSCO, which was listed in Toronto and New York - the largest ever international acquisition by a Swedish company;
Acting for Nordic Capital in relation to the financing of the US$4 billion acquisition of ConvaTec, a division of the Bristol Myers Squibb Company (acquired jointly with Avista Capital Partners) - to date the largest leverage buyout of a US company in 2008;
Acting for Nordic Capital in relation to the financing of the €1 billion public offer for TietoEnator, a company listed on the Helsinki and Stockholm stock exchanges;
Acting for Nordic Capital in relation to the financing of the €1 billion recapitalisation and subsequent sale of Ahlsell, a Nordic region building supplies distributor;
Acting for Nordic Capital in relation to the financing of the €1 billion acquisition of Thule, the worlds leading sports utility transportation company;
Acting for Nordic Capital in relation to the financing of the €599 million acquisition of Outokumpu Copper Products (now Luvata) and the subsequent €650 million acquisition by Luvata Oy of the ECO Group, to create a global copper coils and fabrication group;
Acting for Nordic Capital in relation to the financing of the €695 million acquisition of the Leaf Group, a leading European confectionary company (acquired jointly with CVC Capital Partners);
Acting for Nordic Capital in relation to the financing of the SEK14 billion public to private acquisition of Capio, a European Healthcare company listed on the Stockholm Stock Exchange (acquired jointly with Apax); and
Acting for Cinven Limited and Goldman Sachs Capital Partners V Fund L.P. in relation to the acquisition and recapitalisation of Ahlsell AB from Nordic Capital. Ahlsell is a Nordic distribution business with operations in Sweden, Norway, Finland, Denmark and Russia. Consideration for the acquisition was in excess of €1 billion. Financing for acquisition and the recapitalisation was arranged by Morgan Stanley and Nordea.
Representative transactions for financial institutions include:
Acting for Goldman Sachs, Citibank, HSBC, Commerzbank, Credit Suisse, Société Générale, Caja de Ahorros y Monte De Piedad de Madrid, The Royal Bank of Scotland plc and Lloyds TSB Bank plc in the €10.8 billion financing for the cash portion of Mittal Steel N.V.’s €25.8 billion bid to acquire French rival, Arcelor SA;
Acting for Deutsche Bank in relation to the €530 million public to private financing for the acquisition of Richmond Foods plc, which was listed on the London Stock exchange;
Acting for Nordea in connection with the financing of Getinge's £409 million public offer for Huntleigh Technology Plc, which was listed on the London Stock Exchange;
Acting for Nordea in connection with the €290 million recapitalisation of A-Katsastus, a portfolio company of Bridgepoint;
Acting for CIBC and Bank of Ireland in connection with the €205 million acquisition of JVH Gaming, and subsequent bolt on acquisition; and
Acting for Barclays, Deutsche Bank and Lehman Brothers in the financing of the €630 million acquisition by Warburg Pincus from Candover of the Clondalkin Group.
